The directors present their report with the financial statements of the company for the year ended 30 June 2025.

Principal activity
The Company's principal activities are the provision of temporary works design services and the design works of manufacturing equipment in connection with the construction industry.

Review of business
The profit for the year after taxation amounted to £54,308 (2024: £49,941). There were no dividends declared or paid during the year.

Directors
S D Hesketh has held office during the whole of the period from 1 July 2024 to the date of this report.

Going concern

In order to assist you to fulfil your duties under the Companies Act 2006, we have prepared for your approval the financial statements of MGF Design Services Limited for the year ended 30 June 2025 which comprise the Profit and Loss Account, Balance Sheet, Statement of Changes in Equity and the related notes from the company's accounting records and from information and explanations you have given us.

As a practising member firm of the Institute of Chartered Accountants in England and Wales (ICAEW), we are subject to its ethical and other professional requirements which are detailed within the ICAEW's regulations and guidance at http://www.icaew.com/en/membership/regulations-standards-and-guidance.

This report is made solely to the Board of Directors of MGF Design Services Limited, as a body, in accordance with our terms of engagement. Our work has been undertaken solely to prepare for your approval the financial statements of MGF Design Services Limited and state those matters that we have agreed to state to the Board of Directors of MGF Design Services Limited, as a body, in this report in accordance with ICAEW Technical Release 07/16AAF. 1. Company information

MGF Design Services Limited is a private company limited by shares and is registered and incorporated in England and Wales. The registered office is Grant House, South Lancashire Industrial Estate, Lockett Road, Ashton in Makerfield, Wigan, WN4 8DE.

The Company's principal activities are the provision of temporary works design services and the design works of manufacturing equipment in connection with the construction industry.

The following accounting policies have been applied consistently in dealing with items which are considered material in relation to the financial statements.

2. Statement of compliance

These financial statements have been prepared in accordance with Financial Reporting Standard 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland" including the provisions of Section 1A "Small Entities" and the Companies Act 2006.

3. Accounting policies

Basis of preparing the financial statements
These financial statements have been prepared in accordance with FRS 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland" ("FRS 102") and the requirements of the Companies Act 2006 as applicable to companies subject to the small companies' regime, and under the historical cost convention. The disclosure requirements of section 1A of FRS 102 have been applied.
The financial statements are prepared in sterling, which is the functional currency of the company. Monetary amounts in these financial statements are rounded to the nearest £.
The financial statements have been prepared under the historical cost convention. The principal accounting policies adopted are set out below.

Cash and Cash equivalents
Cash and cash equivalents are basic financial instruments and include cash in hand and deposits held at call with banks.

Turnover
Turnover comprises revenue recognised by the Company in respect of services supplied during the year, exclusive of Value Added Tax.

Tangible fixed assets
Tangible fixed assets are stated at cost less depreciation. Depreciation is provided at rates calculated to write off the cost of fixed assets, less their estimated residual value, over their expected useful lives on the following basis:
Computer software - 5 years
The gain or loss arising on the disposal of an asset is determined as the difference between the sale proceeds and the carrying value of the asset, and is credited or charged to profit or loss.

Research and development
Research and development expenditure is charged to the profit and loss account in the year in which it is incurred.

Pensions
The company operates a defined contribution pension scheme and the pension charge represents the amounts payable by the Company to the fund in respect of the year,

Going concern
These financial statements have been prepared on a going concern basis. The company mainly transacts with a related party and there are no concerns about its current or future solvency. That party has confirmed that it will provide financial support to the company if required.

3. Accounting policies - continued

Financial instruments
The company has elected to apply the provisions of Section 11 'Basic Financial Instruments' of FRS 102 to all of its financial instruments.
Financial instruments are recognised when the company becomes party to the contractual provisions of the instrument.

Basic financial assets
Basic financial assets, which include other debtors, amounts owed by related parties and cash and bank balances, are initially measured at transaction price including transaction costs and are subsequently carried at amortised cost using the effective interest method.

Impairment of financial assets
Financial assets, other than those held at fair value through profit and loss, are assessed for indicators of impairment at each reporting end date
Financial assets are impaired where there is objective evidence that, as a result of one or more events that occurred after the initial recognition of the financial asset, the estimated future cash flows have been affected. If an asset is impaired, the impairment loss is the difference between the carrying amount and the present value of the estimated cash flows discounted at the asset's original effective interest rate. The impairment loss is recognised in profit or loss.

Basic financial liabilities
Basic financial liabilities, including other creditors, are initially recognised at transaction price unless the arrangement constitutes a financing transaction, where the debt instrument is measured at the present value of the future payments discounted at a market rate of interest.

The average number of employees during the year was 42 (2024 - 35 ) .

The directors did not receive any remuneration from this company.

11. Related party disclosures

During the year £2,345,714 (2024: £2,092,352) sales were charged to a company under common control. At year end the amount due from a company under common control was £240,592 (2024: £254,667). During the year £120,000 (2024: £120,000) management charges included in administrative expenses were charged from a company under common control.

12. Ultimate controlling party

The company is ultimately controlled by the Estate of Michael O'Hara.
