Related party transactions

During the period, the company used five properties owned by the director under formal leases. For the period ended 31 January 2025, £67,450 (2024: £54,600) rent was charged to the company and at the balance sheet date no amounts was oustanding. The company leased the properties to third parties at a commercial full market rent.

Going concern

At the balance sheet date, the company had negative shareholders funds of £157,888 (2024: £135,809). Consequently, the company is dependent on the continued support of its director and shareholder, on whose behalf, the deputy have given their personal assurances that they will provide all the financial assistance to enable the company to continue and meet its ongoing obligations as they fall due. On this basis, the deputy consider it appropriate to prepare the financial statements on the going concern basis. The financial statements do not include any adjustment that would result from a withdrawal of assurances given by the deputy of director and shareholder.

At the balance sheet date the company owed the director £119,498 (2024: £89,839). Consequently, if the director's loan account balance is ignored, the negative shareholder funds are greatly reduced.

For the financial year ending 31 January 2025 the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies.

Director's responsibilities:

The members have not required the company to obtain an audit of its accounts for the year in question in accordance with section 476; and

The director acknowledges her responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.

These financial statements have been prepared in accordance with the provisions applicable to companies subject to the micro entities regime and delivered in accordance with the provisions applicable to companies subject to the small companies regime. As permitted by section 444 (5A) of the Companies Act 2006, the director has not delivered to the registrar a copy of the Profit and Loss Account.
