| 9. | AUDITOR LIABILITY LIMITATION AGREEMENT |
| On 18th July 2025 the directors resolved a Liability Limitation Agreement with its Auditors. It was agreed that £500,000 represents a fair maximum to the auditors liability in the event of any one claim arising in respect of the audit. |
| 10. | ULTIMATE CONTROLLING PARTY |
| At the balance sheet date the ultimate controlling party and parent was Stryber AG, registered in Switzerland. Stryber AG's registered office is Wolleraustrasse, Freienbach, Switzerland 8807. |
| 11. | GOING CONCERN |
| Subsequent to the balance sheet date but before the approval of the financial statements, one of the parent company's key clients terminated their contract early. Group management are in dispute with the client over the terms of the termination and in the meantime are actively seeking replacement work. The loss of the client does however, call into question the parent company's ability to support the entity in the long run. |
| Furthermore, a key member of management announced their resignation with an agreed leaving date of within twelve months of approving the financial statements. The board recognise the importance to the business of the individual concerned and are considering their options for the future of the company. They recognise a material uncertainty exists relating to going concern. The financial statements are not revised in respect of this matter. |
