These financial statements have been prepared under the historical cost convention and in accordance with Financial Reporting Standard 105 - 'The Financial Reporting Standard applicable to the Micro-entities Regime'.

Post balance sheet events
Revoker LLP is a Claimant in proceedings issued in the Commercial Court under Claim Number CL-2016-000553. The trial on liability took place during June and July 2018 and the judgment by Mrs Justice Cockerill was handed down on 1 November 2018. The Claimants were successful on all issues of liability. The trial on quantum took place over six weeks between 18 October and 26 November 2021, with closing submissions on 20 and 21 December 2021.
On 25 March 2022, the Judge handed down the Quantum Judgment (the “Quantum Judgment”). The Quantum Judgment set out the scope and quantum of profits for which the Defendants were liable to account to the Claimants following the Liability Judgment. The Quantum Judgment found that the Defendants were liable to pay the Claimants a total amount of US$106,902m. Following the Quantum Judgment, the Judge gave a further Judgment on an additional asset held by the Defendants which brought the total amount due to the Claimants to US$142,18m plus costs (the “Judgment Debt”).
Since the Quantum Judgment, the Defendants have benefitted from a stay of execution of their liability to pay their liability to pay the Judgment Debt, subject to the payment of certain sums since the Quantum Judgment was handed down.
Both parties appealed certain issues contained within the Quantum Judgment. The CoA heard the parties’ respective appeals at a three-day hearing which commenced on 29 November 2022 (the “Linked Appeals”). On 21 March 2023, the CoA handed down the ruling in respect of the Linked Appeals in which it dismissed both parties’ appeals.
In May 2023, the Defendants filed an application for permission to appeal the CoA Judgment to the Supreme Court which was subsequently granted. The Supreme Court hearing took place over two days on 23 and 24 July 2024.
Although the Supreme Court subsequently issued its decision on 19 March 2025, there is ongoing litigation which will affect the amounts payable to Revoker LLP and the other Claimants. It is therefore not possible yet to say the Claimants have a final and irrevocable right to the Current Total. The rights of the Claimants will be determined by the outcome of the current litigation in respect of which judgment is expected in 2026.

These financial statements have been prepared in accordance with the provisions applicable to LLPs subject to the micro-entities regime and FRS 105 ‘The Financial Reporting Standard Applicable to the Micro-entities Regime.
These financial statements have been delivered in accordance with the provisions applicable to companies subject to the small companies regime, as applied to limited liability partnerships. As permitted by section 444 (5A) of the Companies Act 2006, the members have not delivered to the registrar a copy of the Profit and Loss Account.
For the year ending 5 April 2025 the limited liability partnership was entitled to exemption from audit under section 477 of the Companies Act 2006, as applied to limited liability partnerships, relating to small entities.
The members acknowledge their responsibilities for complying with the requirements of the Companies Act 2006, as applied to limited liability partnerships by the Limited Liability Partnerships (Accounts and Audit) (Application of Companies Act 2006) Regulations 2008 with respect to accounting records and the preparation of accounts.
