For the year ending 31 March 2025 the company was entitled to exemption under section 477 of the Companies Act 2006 relating to small companies.
The members have not required the company to obtain an audit in accordance with section 476 of the Companies Act 2006.
The directors acknowledge their responsibilities for complying with the requirements of the Companies Act 2006 with respect to accounting records and the preparation of accounts.
The accounts have been prepared in accordance with the micro-entity provisions and delivered in accordance with the provisions applicable to companies subject to the small companies regime.

Guarantees
Loans and Convertible Loan Notes
Unsecured loans outstanding at the balance sheet date amounted to £378,775 (2024: £354,675).
The Company's obligations to the Department for Enterprise of the Isle of Man Government and to NWF (Micro Loans) in respect of loans, convertible loan notes and charges were fully discharged before the end of the 2024 financial year.
The Company had taken unsecured loans from two shareholders (the Investors) in the amount of £425,000, in the form of redeemable convertible loan notes issued on 23 January 2024 at a interest rate of 10% per annum, and on the same conversion terms as were in place for the Department for Enterprise of the Isle of Man Government. £100,000 of the loan notes were repaid before the end of the 2024 financial year. The redemption is due on the second anniversary of the issue date.

Advances and credits
There was a debit balance of £236,601 on Mr T Taylor's loan account at the balance sheet date (2024: £217,580 debit). The loan is interest free and was due for repayment by 19 January 2023. The amount owed by Mr T Taylor is included under Current Assets. A loan of upto £50,000 was approved by the Shareholders on 5th May 2016, and a further loan of upto £50,000 was approved by the Shareholders on 29th November 2018, to enable the director to carry out his duties.
