For the period ending 31 March 2025 the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies. The members have not required the company to obtain an audit in accordance with section 476 of the Companies Act 2006.
The directors acknowledge their responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.
These accounts have been prepared and delivered in accordance with the provisions applicable to companies subject to the small companies' regime and in accordance with the provisions of FRS 102 Section 1A - Small Entities. The profit and loss account has not been delivered to the Registrar of Companies.

Compliance with accounting standards
The accounts have been prepared in accordance with the provisions of FRS 102 Section 1A Small Entities. There were no material departures from that standard.
The principal accounting policies adopted in the preparation of the financial statements are set out below and have remained unchanged from the previous period, and also have been consistently applied within the same accounts.
The accounts have been prepared under the historical cost convention as modified by the revaluation of certain fixed assets.
The accounts are presented in £ sterling.

Transactions with related parties
During this period, the company entered transactions with related parties as outlined below. All transactions were conducted on normal commercial terms unless otherwise stated.
Transactions during the year
• Sage Dental Practice Ltd – group undertaking, Company provided services £100,000
• Sage Dental College Ltd – parent undertaking, paid £100 for expenses.
At the balance sheet date the following balances were outstanding with related parties:
• Receivables from Mr Mihir Shah, director of the Company, resigned on 28 February 2025, £25,000
• Payables to Sage Dental Practice Ltd : £59,575 (as at 30th April 2024 : £18,786)
• Receivable from Sage Dental College Ltd £100 (as at 30th April 2024 : Nil)
Balances with related parties are unsecured, interest-free, and are repayable on demand.

The directors consider that the ultimate controlling parties are the directors of the company, by virtue of their ownership and control of the shares in the parent company.
Accordingly, the directors are regarded as the ultimate beneficial owners and controlling parties of the company.
