Approval of the Loan: As required under Sections 197–201 of the Companies Act 2006, this loan was approved by the shareholders of We Are Ram Construction Ltd at an extraordinary meeting (EGM) held on 13.9.2024.
Director Relationship and Control: Michael Davids, who is a director of We Are Ram Construction Ltd, also holds a controlling interest in Hoop Barn Ltd. This transaction represents a related party transaction under FRS 102 Section 33 and Section 413 of the Companies Act 2006. The loan is classified as a significant transaction due to its materiality and related party nature.
Commercial Justification: The property, although owned by Hoop Barn Ltd, is utilised as operational premises by We Are Ram Construction Ltd, aligning with the company’s business activities and strategic objectives. Providing the loan interest-free reflects the company’s interest in securing and maintaining a suitable location for its operations at a commercially advantageous cost. This arrangement is considered mutually beneficial and eliminates the need for costly third-party financing, which would otherwise increase operational expenses.
The loan is secured by a legal mortgage over the property used as operational premises by the company. Management considers the risk of non-repayment low, given the property's strategic importance to the company and the related party's financial stability.
Terms and Conditions: The loan was granted on terms favourable to Hoop Barn Ltd, reflecting the related party relationship. However, the company confirms that the arrangement serves the commercial and operational interests of We Are Ram Construction Ltd, and all transactions have been conducted transparently and in compliance with applicable regulations.
