| The trustees who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 30 September 2025. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019). |

| Objectives and aims |
| The principal activity of the company during the year was the organisation and promotion of Glasgow's International Jazz Festival with the object of promoting, maintaining, improving, advancing, and encouraging the presentation and appreciation of Jazz and all associated forms of musical and artistic education. |

| ACHIEVEMENTS AND PERFORMANCE |
| Charitable activities |
| Glasgow International Jazz Festival 2025 |
| The 39th annual Glasgow Jazz Festival took place from Wednesday 18th until Sunday 22nd June 2025. |
| A programme of Scottish, UK and international artists was presented in venues across the city. We also worked with several local promoters & organisations to add to our programme with a series of co-promotions which helped boost the overall event. |
| Beyond Borders |
| We worked with Serious Productions in London to bring the premiere of the British Council supported "Beyond Borders" event to the Green Room in Glasgow Royal Concert Hall. This event celebrated the 20th anniversary of their Take Five mentoring programme. |
| Poesis - a newly commissioned work and collaboration exploring interconnection, borders and language as thresholds featured live soundscapes, reimagining of traditional folk songs, improvised melodies, and manipulated voices featured musicians from recent cohorts of Take Five including Lulu Manning, Xhosa Cole, Claire Victoria Roberts and Conor McAuley. |

| We were successful with the reopened Glasgow City Council Glasgow 850 Festival Fund (which we weren't eligible to apply for at the first round (up to £10k). We have been granted £5,000 towards afternoon events during the Festival dates including: |
| Sue McKenzie's Sound Explorers - workshop for kids aged 5-9 (Free entry) |
| Byres Road Big Band at the Pearce Institute in Govan (Free entry) |
| We presented a project entitled "The New Jazzwegians" featuring Glasgow-based jazz musicians who weren't born in the city but had chosen to make their home and jazz career here - co-curated by Fergus McCreadie. The programme took place at St Luke's on the afternoon of Sunday 22 June and was hosted and introduced by and featured musicians born in Ghana, France, London and Scotland-wide. |

| As part of his prize for winning the above title, Paisley guitarist Timmy Allan was given a gig in the main programme. |

| We worked with Respitality Scotland to offer unpaid carers complimentary tickets to some St Luke's shows. |
| PR Campaign / Social Media |
| We appointed Corrie Campbell of Campbell Communications to provide a PR campaign for the event, along with some assistance with social media. Their End of Campaign media report is attached. |
| Post-Event Media Release |
| The curtain has closed on the 39th edition of Glasgow Jazz Festival, reaffirming its place as one of the UK's premier and much-loved jazz events. |
| From Wednesday 19 - Sunday 22 June, Glasgow's longest running festival brought a dynamic line-up of iconic performers, rising stars, album launches, and community events to venues across Glasgow, delighting audiences with jazz sounds of every genre, from big band and swing, to experimental and blues. |
| More than 200 musicians took part in over 35 performances. A swathe of shows reached a sell out including acclaimed New Orleans musician Jon Cleary, jazz fusion outfit Mammal Hands, Scottish jazz stalwarts Rose Room and two shows by trumpeter Colin Steele. |
| Events ranged from free jam sessions and one-off collaborations, to a children's music workshop and a book reading, as well as an exhibition by Glasgow-based photographer Alan Donaldson, capturing musicians from the thriving local scene. |
| The five-day festival has been subscribed to the music industry's gender equality initiative, Keychange, since 2017, and this year hit 75% of performances that featured female talent. |
| Staged in a UNESCO City of Music and with nearly four decades of history, Glasgow Jazz Festival continues to set the stage for established and emerging jazz talent, fostering and promoting an appreciation for jazz in its many forms among Glasgow audiences. |
| Jill Rodger, Director of Glasgow Jazz Festival, said: "The 39th Glasgow Jazz Festival has been one to remember - from packed venues to incredible performances, the energy brought by both artists and audiences has been wonderful. Our commitment to inclusivity, giving young and emerging talent a platform and celebrating all genres of jazz, are at the heart of what we do. I want to personally thank everyone who played a part in making this festival such a success. We're already looking forward to what's in store for our very special 40th edition. | Keychange Initiative - "Creating opportunities for women and gender minorities in music" - 82% of bands programmed in our own-promoted gigs featuring at least one female or gender minority performer in their lineup, with a total of 75% achieved across the programme when including the co-promotions. |

| Having signed up to Creative Carbon Scotland's Green Arts Initiative, we once again strengthened our efforts to reduce waste backstage (using biodegradable coffee cups, no plastic lids, paper plates etc) and provided fewer small bottled waters where possible. |

| Financial position |
| The financial statements for 30 September 2025 show a surplus of £2,482 (2024 - £10,766 deficit) for the period. |
| The company has been able to continue its activities due to support from Creative Scotland its bankers, the Virgin Money Bank, and other creditors. |

| The directors intend to build up a minimum balance in the unrestricted funds to cover our major risk area - Box Office revenue. The directors consider it prudent to cover 50% of projected Box Office revenue. At present, this requires a reserve of £16,000. The directors consider the company's reserves policy annually at the company's annual general Meeting |

| The directors intend to continue the annual festival and maintain a secure financial position. |

| The organisation is a charitable company limited by guarantee, incorporated on 18 November 1986 and registered as a charity on 18 November 1986. The company is controlled by its Memorandum of Association, which establishes the objects and powers of the charitable company and is governed under its Articles of Association. In the event of the company being wound up members are required to contribute an amount not exceeding £1. |
| Recruitment and appointment of new trustees |
| The directors / trustees of the company are appointed by the members at the annual general meeting. Directors are normally appointed for a period of three years after which they must offer themselves for re-election. |
| Organisational structure |
| A board of directors, who meet quarterly, administers the charity. The day to day running of the festival is contracted out to independent consultants who are coordinated by the board. |
| Induction and training of new trustees |
| Most trustees are familiar with the practical work of the charity having been briefed by the Chairman on the obligations of trustees, the main documents which set out the operational framework for the charity including the Memorandum and Articles of Association, resourcing and the current financial position and future plans and objectives. |
| Related parties |
| The charity has a very close relationship with Creative Scotland who provide funding to enable the company to carry on its activities. Details of transactions with related parties are set out in the notes to the financial statements. |

| Respective responsibilities of trustees and examiner |
| The charity's trustees are responsible for the preparation of the accounts in accordance with the terms of the Charities and Trustee Investment (Scotland) Act 2005 and the Charities Accounts (Scotland) Regulations 2006 (as amended). The charity's trustees consider that the audit requirement of Regulation 10(1)(a) to (c) of the Accounts Regulations does not apply. It is my responsibility to examine the accounts as required under Section 44(1)(c) of the Act and to state whether particular matters have come to my attention. |
| Basis of the independent examiner's report |
| My examination was carried out in accordance with Regulation 11 of the Charities Accounts (Scotland) Regulations 2006. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeking explanations from you as trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently I do not express an audit opinion on the view given by the accounts. |

| Basis of preparing the financial statements |
| The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention. |

| All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably. |
| Expenditure |
| Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources. |
