The members have not required the company to obtain an audit of its financial statements for the year ended 31st July 2025 in accordance with Section 476 of the Companies Act 2006.

The directors acknowledge their responsibilities for:

(a)	ensuring that the company keeps accounting records which comply with Sections 386 and 387 of the Companies Act 2006 and

(b)

preparing financial statements which give a true and fair view of the state of affairs of the company as at the end of each financial year and of its profit or loss for each financial year in accordance with the requirements of Sections 394 and 395 and which otherwise comply with the requirements of the Companies Act 2006 relating to financial statements, so far as applicable to the company.

The financial statements have been prepared and delivered in accordance with the provisions applicable to companies subject to the small companies regime.

In accordance with Section 444 of the Companies Act 2006, the Income Statement has not been delivered.

1.	STATEMENT OF COMPLIANCE

XLP Holdings Limited is a private company, limited by shares, incorporated in England and Wales. The address of the registered office is Elstead House, Mill Lane, Alton, Hampshire, GU34 2QJ. The registration number is 13822413.

The financial statements are presented in sterling, which is the functional currency of the company, and rounded to the nearest pound.

2.	ACCOUNTING POLICIES

Basis of preparing the financial statements

These financial statements have been prepared in accordance with the provisions of Section 1A "Small Entities" of Financial Reporting Standard 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Companies Act 2006

The financial statements have been prepared under the historical cost convention.

Preparation of consolidated financial statements

The financial statements contain information about XLP Holdings Ltd as an individual company and do not contain consolidated financial information as the parent of a group. The company is exempt under Section 399(2A) of the Companies Act 2006 from the requirements to prepare consolidated financial statements.

Investments in subsidiaries

Investments in subsidiaries are measured at cost less accumulated impairment.The directors review the carrying value of the investment for impairment at each reporting date. If such indication exists, the recoverable amount of the investment is estimated and any impairment loss is recognised in profit or loss.

Financial instruments

Financial assets and financial liabilities are recognised when the company becomes party to the contractual provisions of the financial instrument.

Debtors

Short term debtors are stated at their nominal value. Appropriate allowances for estimated irrecoverable amounts are recognised in the Profit and loss account when there is objective evidence that the asset is impaired.

6.	RELATED PARTY DISCLOSURES

Included in other debtors is a directors loan balance owing from the directors totalling £4,384 (2024: £4,384). This is interest free and repayable on demand.

7.	ULTIMATE CONTROLLING PARTY

The company was under the control of Mr J. C. Lucas throughout the current and previous year, by virtue of being the majority shareholder.
