The directors present their report with the financial statements of the company for the period ended 31 August 2025

Principal activities of the company

During the year, the Trustees undertook a review of the future direction and sustainability of the Foundation, considering its scale, impact and available funding. Whilst the Foundation remains aligned to its charitable objectives, the Trustees have taken a prudent approach to new grant-making activity in light of current funding levels and the administrative requirements associated with operating the charity. As a result, no new grant commitments were made during the year, and activity has focused on preserving existing resources and considering how these can be deployed most effectively to maximise charitable impact. The Trustees continue to ensure that all activities are consistent with the Foundation’s Objects and provide public benefit in accordance with Charity Commission guidance.

Additional information

PLANS FOR THE FUTURE The Trustees have considered the long-term sustainability and effectiveness of the Foundation as a vehicle for delivering charitable impact. Given the relatively small scale of the Foundation and the ongoing administrative and governance requirements associated with operating a registered charity, the Trustees are assessing whether the Foundation remains the most effective structure through which to achieve its objectives. In this context, the Trustees are exploring options for the orderly wind-down or closure of the Foundation, subject to formal Trustee approval and compliance with Charity Commission requirements. As part of this process, consideration is being given to the appropriate use of remaining funds, ensuring that any future expenditure is applied in furtherance of the Foundation’s charitable objectives prior to any potential closure. The Trustees will ensure that any decision is taken in accordance with their legal duties and in the best interests of the charity and its beneficiaries.
