4.	GOING CONCERN

The financial statements have been prepared in accordance with FRS 105, The Financial Reporting Standard applicable to the Micro-entities Regime.

The directors have considered whether the company is a going concern. At 31 May 2025 the company owed £124,388 to Wilshire Entertainment Limited. Following payments made after the year end, the balance owed to Wilshire Entertainment Limited was £122,306 at 22 May 2026. Wilshire Entertainment Limited is expected to enter liquidation on 26 May 2026.

The directors have considered the company's ability to settle the remaining balance owed to Wilshire Entertainment Limited, together with its other liabilities, as they fall due. Having considered the company's financial position, expected cash flows and available sources of support, the directors have concluded that the company is unable to meet this liability and has no realistic alternative but to cease trading or enter liquidation.

Accordingly, the financial statements have not been prepared on the going concern basis. The financial statements have instead been prepared on a basis reflecting that the company's assets may be realized and liabilities settled other than in the normal course of business. The directors have reviewed the carrying value of the company's assets for reconcilability and have included liabilities at the amounts expected to be payable.

The amount owed to Wilshire Entertainment Limited has not been released, waived or extinguished and remains included within creditors.

The company is entitled to exemption from audit under Section 477 of the Companies Act 2006 for the year ended 29 May 2025.

The members have not required the company to obtain an audit of its financial statements for the year ended 29 May 2025 in accordance with Section 476 of the Companies Act 2006.

The directors acknowledge their responsibilities for:

(a)	ensuring that the company keeps accounting records which comply with Sections 386 and 387 of the Companies Act 2006 and

(b)

preparing financial statements which give a true and fair view of the state of affairs of the company as at the end of each financial year and of its profit or loss for each financial year in accordance with the requirements of Sections 394 and 395 and which otherwise comply with the requirements of the Companies Act 2006 relating to financial statements, so far as applicable to the company.

The financial statements have been prepared in accordance with the micro-entity provisions and delivered in accordance with the provisions applicable to companies subject to the small companies regime.
