1. STATUTORY INFORMATION

Mallinson Properties Limited is a private company, limited by shares , registered in England and Wales. The company's registered number and registered office address can be found on the Company Information page.

The presentation and functional currency of the financial statements is the Pound Sterling (£).

2. STATEMENT OF COMPLIANCE

These financial statements have been prepared in accordance with Financial Reporting Standard 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland" including the provisions of Section 1A "Small Entities" and the Companies Act 2006.

3. ACCOUNTING POLICIES

Basis of preparing the financial statements
At the time of approving the financial statements, the directors have a reasonable expectation that the company has adequate resources to continue in operational existence for the foreseeable future. Thus the directors continue to adopt the going concern basis of accounting in preparing the financial statements.

The financial statements have therefore been prepared on a going concern basis under the historical cost convention.

The financial statements of the company are consolidated in the financial statements of Ken Mallinson & Sons Holdings Limited. The consolidated financial statements are available from its registered office.

Significant judgements and estimates
The principal accounting policies and significant judgements and estimates applied in the preparation of these financial statements are set out below. These policies, judgements and estimates have been consistently applied to all years presented unless otherwise stated.

Turnover
Turnover represents amounts earned on rental income during the year and derives from the provision of services falling within the company's ordinary activities.

Government grants
Government grants are recognised in accordance with the accrual model of Section 24 of FRS 102.

Grants became receivable as compensation for expenses already incurred for the purpose of giving immediate financial support to the entity with no future related costs recognised in income in the period in which the grant became receivable.

Investment property
Investment property is rented to entities within the Ken Mallinson & Sons Holdings Group. On this basis the investment property is recorded under the cost model in accordance with Section 17 of FRS 102.

Taxation
Taxation for the year comprises current and deferred tax. Tax is recognised in the Profit and Loss Account, except to the extent that it relates to items recognised in other comprehensive income or directly in equity.

Current or deferred taxation assets and liabilities are not discounted.

Current tax is recognised at the amount of tax payable using the tax rates and laws that have been enacted or substantively enacted by the balance sheet date.

Deferred tax
Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the balance sheet date.

Timing differences arise from the inclusion of income and expenses in tax assessments in periods different from those in which they are recognised in financial statements. Deferred tax is measured using tax rates and laws that have been enacted or substantively enacted by the year end and that are expected to apply to the reversal of the timing difference.

Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits.

12. CONTINGENT LIABILITIES

The company has given to HSBC plc a group multilateral guarantee which amounted to £241,192 as at 31 August 2025 (2024: £305,558).

13. RELATED PARTY DISCLOSURES

The company has taken advantage of exemption, under the terms of Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland', not to disclose related party transactions with wholly owned subsidiaries within the group.

During the year Mallinson Properties Limited sold goods and services amounting to £nil (2024: £225,000) to other related parties.

The amount due from these companies to Mallinson Properties Limited at 31st August 2025 was £172,623 (2024: £172,623) and is included within debtors due within one year.

The amount owed to these companies by Mallinson Properties Limited at 31st August 2025 was £nil (2024: £15,997) and is included within creditors due within one year.

Following the year end, the company purchased investment property for £1,250,000 from other related parties.
