Accounting policies
Company information
Tritech Piling and Foundations Limited is a private company limited by shares incorporated in England and Wales. The registered office is Cranfield Road, Lostock Industrial Estate, Lostock, Bolton.

Accounting convention

These financial statements have been prepared in accordance with FRS 102 “The Financial Reporting Standard applicable in the UK and Republic of Ireland” (“FRS 102”) and the requirements of the Companies Act 2006 as applicable to companies subject to the small companies regime. The disclosure requirements of section 1A of FRS 102 have been applied other than where additional disclosure is required to show a true and fair view.

The financial statements are prepared in sterling, which is the functional currency of the company. Monetary amounts in these financial statements are rounded to the nearest £.

The financial statements have been prepared under the historical cost convention. The principal accounting policies adopted are set out below.

Tritech Piling and Foundations Limited is consolidated into the group accounts of A E Yates Limited whose registered office is Cranfield Road, Lostock Industrial Estate, Bolton. The consolidated financial statements are available from Companies House, Crown Way, Cardiff.

Going concern

The company is not currently trading and does not anticipate commencing trading in the foreseeable future.

 

The company is dependent on the continuing financial support of its parent company. The parent undertaking has provided a letter of support confirming that it will continue to provide financial assistance to enable the company to meet its liabilities as they fall due for a period of at least 12 months from the date of approval of these financial statements.

 

The directors have assessed the company’s position and confirm that the going concern basis does not result in any changes to the carrying amounts of assets or liabilities in these financial statements.

Cash and cash equivalents

Cash at bank and in hand are basic financial assets and include cash in hand and bank overdrafts. Bank overdrafts are shown within borrowings in current liabilities.

Financial instruments

The company has elected to apply the provisions of Section 11 ‘Basic Financial Instruments’ and Section 12 ‘Other Financial Instruments Issues’ of FRS 102 to all of its financial instruments.

 

Financial instruments are recognised in the company's balance sheet when the company becomes party to the contractual provisions of the instrument.

 

Financial assets and liabilities are offset, with the net amounts presented in the financial statements, when there is a legally enforceable right to set off the recognised amounts and there is an intention to settle on a net basis or to realise the asset and settle the liability simultaneously.

Basic financial assets

The company only enters into basic financial instruments transactions that result in the recognition of financial assets and liabilities like trade debtors and creditors. These are measured at amortised cost and are assessed at the end of each reporting period for objective evidence of impairment. If objective evidence of impairment is found, an impairment loss is recognised in the Profit and loss account.

Classification of financial liabilities

Financial liabilities and equity instruments are classified according to the substance of the contractual arrangements entered into. An equity instrument is any contract that evidences a residual interest in the assets of the company after deducting all of its liabilities.

Basic financial liabilities

Basic financial liabilities, including creditors, are initially recognised at transaction price. Financial liabilities classified as payable within one year are not amortised.

 

Trade creditors are obligations to pay for goods or services that have been acquired in the ordinary course of business from suppliers. Amounts payable are classified as current liabilities if payment is due within one year or less. If not, they are presented as non-current liabilities. Trade creditors are recognised initially at transaction price and subsequently measured at amortised cost using the effective interest method.

Taxation

The company is liable to Corporation Tax. Corporation Tax is calculated using tax rates that have been enacted or substantively enacted by the reporting end date.

Judgements and key sources of estimation uncertainty

In the application of the company’s accounting policies, the director is required to make judgements, estimates and assumptions about the carrying amount of assets and liabilities that are not readily apparent from other sources. The estimates and associated assumptions are based on historical experience and other factors that are considered to be relevant. Actual results may differ from these estimates.

 

The estimates and underlying assumptions are reviewed on an ongoing basis. Revisions to accounting estimates are recognised in the period in which the estimate is revised where the revision affects only that period, or in the period of the revision and future periods where the revision affects both current and future periods.

The bank borrowings are secured by way of an unlimited intercompany guarantee across the A E Yates group, and all related companies across the entire group.

 

The bank borrowings are also secured by way of a debenture. The debenture is secured against all assets of the company.

 

The bank overdraft is repayable on demand and forms part of the group wide borrowing facility.

Audit report information

As the income statement has been omitted from the filing copy of the financial statements, the following information in relation to the audit report on the statutory financial statements is provided in accordance with s444(5B) of the Companies Act 2006.

The auditor's report is unqualified and includes the following:

Emphasis of matter - Going concern

We draw your attention to note 1.2 to the financial statements which explains that the company is no longer trading. Accordingly the financial statements have been prepared on a basis other then going concern. Our opinion is not modified in respect of this matter.

The senior statutory auditor was Alison Cornes.
The auditor was Barlow Andrews LLP.

Parent company

The parent company is A E Yates Limited, a company registered in England and Wales.

 

Tritech Piling and Foundations Limited is consolidated into the group accounts of A E Yates Limited whose registered office is Cranfield Road, Lostock Industrial Estate, Bolton. The consolidated financial statements are available from Companies House, Crown Way, Cardiff.

The company, and therefore the group, is under the control of an Employee Ownership Trust, A E Yates (EOT) Limited, who owns 75% of the group.
