Strategic Report
The directors present their strategic report for the year ended 31 August 2025.
Review of the Business
The Board of Directors of Now Education Holdings Ltd is pleased to present the strategic report for the twelve months ended 31 August 2025. This represents the second set of results for the Group at this level since the management buyout of the trading group in December 2023. The comparative results therefore represent the first 8 months since then whereas the following review has been prepared on a 12-month like-for-like basis to aid comparability. 
Turnover for the year was £30.7 million, representing a 2.2% year-on-year decrease. The Board believes this modest reduction reflects a cautious start to the financial year, during which educational establishments across all of our locations demonstrated a reluctance to spend at previous years' levels. This caution was most pronounced in the first half of the year and was felt broadly across the education recruitment sector. Notwithstanding this, trading momentum improved materially through the second half of the year following the new Government's first Budget announcement, and the Group finished the year with strong operational foundations in place.
The Group's revenue continues to be dominated by temporary placements, which accounted for £30.5 million of total turnover. Permanent placement revenue was £184,744, representing a small but stable contribution to the overall revenue mix.
Gross profit for the year was £7.2 million, with gross margin improving to 23.4%. This improvement demonstrates the Board's success in mitigating increases in statutory employment costs and inflationary pressures on operating costs through disciplined pricing and increased charge rates to clients, protecting both gross and net margin positions.
EBITDA
The Group's EBITDA for the year ended 31 August 2025 was £2.7 million. EBITDA grew by just over 10%, reflecting the Group's strong operational leverage. This is a particularly encouraging outcome given that 2025 was the first full year in which all acquired businesses traded under Group ownership, with associated integration costs and management overhead fully reflected in the results.
The improvement in EBITDA demonstrates that the core operating business is generating meaningfully more cash than in the prior year, and that the Group's investment in people, systems and infrastructure is beginning to convert into sustainable profit growth.
Goodwill Amortisation and Finance Costs
The Group's reported loss before taxation of £2.07 million reflects the significant non-cash charges arising from the Group's acquisition-led growth strategy:
• Goodwill amortisation: £2.56 million
• Net interest payable: £2.19 million
The Board views these charges as the expected cost of the Group's buy-and-build strategy and is satisfied that the underlying
Geographic Footprint
The Board made the strategic decision during the year to close the London location. Following a review of performance and return on investment, the Board concluded that management resources and capital are better deployed across the Group's remaining six established locations across England and Wales. This decision is expected to reduce costs and improve overall group margin in the year ahead.
Business Environment
The Group's core client base comprises full-time educational establishments including schools, academies and alternative provision settings. The education recruitment sector remains highly competitive, but the Board believes Now Education's regional, consultant-led model provides a genuine competitive advantage in terms of candidate quality, client relationships and speed of service.
Whilst the new financial year commenced with some caution — with schools and educational settings initially reluctant to commit expenditure at prior-year levels — confidence has since improved markedly following the new Government's first Budget announcement. The Board expects to finish the current financial year strongly and is confident in the Group's ability to win market share from competitors.
Key Performance Indicators
The directors review a range of KPIs on a weekly, monthly and annual basis. The primary metrics used to manage the business are:
   1. Revenue growth rate – to analyse the rate at which sales revenue is growing and to inform strategic decisions.
   2. Margins by consultant – to measure each consultant's ability to generate sales at an acceptable margin.
   3. Candidates / timesheets per desk – to measure each consultant's ability to generate and sustain candidate throughput.
   4. Timesheets per candidate – to maximise candidate utilisation and multiple placements per week where demand exists.
   5. Contribution per desk – to ensure each location operates at optimum efficiency within the Group.
   6. Profit before tax – to monitor cost control and the conversion of revenue into reported profit.
   7. Average debtor days – to maintain tight control of the debtor ledger and ensure sufficient liquidity to meet all liabilities.
   8. Budget to actual results – to monitor performance against budget and investigate variances promptly.

Review of the Business - continued
Principal Risks and Uncertainties
Management and the board regularly review the risks facing the business. The Board of Directors is satisfied that the business has successfully developed a framework of policies that will minimise the risks and uncertainties in running the business. The board focuses on actively securing the company's short to medium term cash flows by minimising the exposure to financial markets. 
Future Developments
Notwithstanding the macroeconomic uncertainties and the recent change of Government, the Board remains confident in the medium-term growth potential of the Group. The strategy for the coming year focuses on:
   • Deepening relationships with existing clients across all six retained locations
   • Driving higher consultant productivity and candidate throughput
   • Continuing to attract high-calibre, entrepreneurially minded recruitment professionals to the Group
   • Improving EBITDA conversion and progressing towards a position where operating profit covers financing costs
The Board believes that the strength of its loyal customer base, the quality of its people, and the resilience of demand for education supply staff provide a firm foundation for continued growth and increasing market share.
Financial Instruments
The business's principal financial instruments comprise of its bank balances, trade debtors and loans. The main purpose of these is to ensure that the business has sufficient finance for its operations.
The company does not actively engage in the trading of financial assets for speculative purposes nor does it enter into any forward contracts, options or any financial instruments of a derivative nature.
The main risks arising from the business's financial instruments are interest rate risk, liquidity risk and credit risk.
Credit risk:
The business's trade and other receivables are actively monitored to avoid significant concentrations of credit risk. The business reviews the credit quality of customers and limits credit exposures accordingly.
The credit risk on trade debtors are minimised by the use of credit insurance as an integral part of the invoice discounting facility. Where credit insurance is not available on a customer and the customer does not have an appropriate credit history the business terms of trade will be based upon receiving upfront payments on account.
Following its strict adherence to its agreed credit policy and the added security of the credit insurance the board believe that they are managing the risks appropriately and have maintained a positive position on the risk exposure.
Liquidity and cashflow risk:
The business holds financial instruments to finance its operations and manages risks arising from these operations and its sources of finance in accordance with its accounting policies. In addition, various financial instruments, such as trade debtors and trade creditors arise directly from the business's operations. Operations and working capital requirements are funded out of short term banking facilities, operating leases and invoice discounting.
Interest rate risk:
The business finances its working capital using invoice discounting which charges interest based upon the funder’s variable rate. The Board of Directors monitor the interest charges and rates on a monthly basis.

Disclosures required under s416(4) of the Companies Act 2006 are commented upon in the Strategic Report as the directors consider them to be of strategic importance to the business.
Statement of Directors' Responsibilities
The directors are responsible for preparing the Strategic Report, the Directors' Report and the financial statements in accordance with applicable law and regulations.
Company law requires the directors to prepare financial statements for each financial year. Under that law the directors have elected to prepare the financial statements in accordance with United Kingdom Generally Accepted Accounting Practice (United Kingdom Accounting Standards, comprising FRS102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland', and applicable law). Under company law the directors must not approve the financial statements unless they are satisfied that they give a true and fair view of the state of affairs of the company and of the profit or loss of the company for that period. In preparing the financial statements the directors are required to:
  • select suitable accounting policies and then apply them consistently;
  • make judgments and accounting estimates that are reasonable and prudent;
  • state whether applicable United Kingdom Accounting Standards, comprising FRS102, have been followed subject to any material departures disclosed and explained in the financial statements;
  • prepare the financial statements on the going concern basis unless it is inappropriate to presume that the company will continue in business.
The directors are responsible for keeping adequate accounting records that are sufficient to show and explain the company's transactions and disclose with reasonable accuracy at any time the financial position of the company and enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

In the case of each director in office at the date the Directors' Report is approved: 
  • so far as the director is aware, there is no relevant audit information of which the company and group's auditors are unaware; and

We have audited the financial statements of Now Education Holdings Ltd (the "parent company") and its subsidiaries (the "group") for the year ended 31 August 2025 which comprise the Consolidated Profit and Loss Account, Consolidated Balance Sheet, Company Balance Sheet, Consolidated Statement of Changes of Equity, Company Statement of Changes of Equity, Consolidated Cash Flow Statement and the related notes, including a summary of significant accounting policies. The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice), including FRS 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland".
In our opinion the financial statements:
  • give a true and fair view of the state of the group's and of the parent company's affairs as at 31 August 2025 and of the group's profit/(loss) for the year then ended;
  • have been properly prepared in accordance with United Kingdom Generally Accepted Accounting Practice; and
  • have been prepared in accordance with the requirements of the Companies Act 2006.
Basis for Opinion
We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. We are independent of the company in accordance with the ethical requirements that are relevant to our audit of the financial statements in the UK, including the FRC's Ethical Standard, and we have fulfilled our other ethical responsibilities in accordance with these requirements. Conclusions Relating to Going Concern
In auditing the financial statements, we have concluded that the directors' use of the going concern basis of accounting in the preparation of the financial statements is appropriate.
Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the group and parent company's ability to continue as a going concern for a period of at least 12 months from when the financial statements are authorised for issue.
Our responsibilities and the responsibilities of the directors with respect to going concern are described in the relevant sections of this report.
Other Information
The other information comprises the information included in the annual report, other than the financial statements and our auditor's report thereon. The directors are responsible for the other information contained within the annual report. Our opinion on the financial statements does not cover the other information and, except to the extent otherwise explicitly stated in our report, we do not express any form of assurance conclusion thereon. In connection with our audit of the financial statements, our responsibility is to read the other information and, in doing so, consider whether the other information is materially inconsistent with the financial statements or our knowledge obtained in the audit or otherwise appears to be materially misstated. If we identify such material inconsistencies or apparent material misstatements, we are required to determine whether this gives rise to a material misstatement in the financial statements themselves. If, based on the work we have performed, we conclude that there is a material misstatement of this other information, we are required to report that fact.
We have nothing to report in this regard.

In the light of the knowledge and understanding of the group and parent company and their environment obtained in the course of the audit, we have not identified material misstatements in the Strategic Report or the Directors' Report.
We have nothing to report in respect of the following matters in relation to which the Companies Act 2006 requires us to report to you if, in our opinion:
  • adequate accounting records have not been kept by the parent company, or returns adequate for our audit have not been received from branches not visited by us; or
  • the parent company financial statements are not in agreement with the accounting records or returns; or
  • certain disclosures of directors' remuneration specified by law are not made; or
  • we have not received all the information and explanations we require for our audit.
Responsibilities of Directors
As explained more fully in the Directors' Responsibilities Statement set out on page 4—5, the directors are responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view, and for such internal control as the directors determine is necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error.
In preparing the financial statements, the directors are responsible for assessing the group and parent company's ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the directors either intend to liquidate the group or the parent company or to cease operations, or have no realistic alternative but to do so.
Auditor's Responsibilities for the Audit of the Financial Statements
Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an auditor's report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.
Irregularities, including fraud, are instances of non-compliance with laws and regulations. We design procedures in line with our responsibilities, outlined above, to detect material misstatements in respect of irregularities, including fraud. The extent to which our procedures are capable of detecting irregularities, including fraud is detailed below: 
We are not responsible for preventing irregularities. Our approach to detecting irregularities included, but was not limited to, the following:
  • obtaining an understanding of the legal and regulatory framework applicable to the entity and how the entity is complying with that framework;
  • obtaining an understanding of the entity's policies and procedures and how the entity has complied with these, through discussions and walkthrough testing;
  • obtaining an understanding of the entity's risk assessment process, including the risk of fraud;
  • enquiring of management as to actual and potential fraud, litigation and claims;
  • designing our audit procedures to respond to our risk assessment; 
  • performing audit testing over the risk of management override of controls, including testing of journal entries and other adjustments for appropriateness and evaluating the business rationale of significant transactions outside the normal course of business;
  • assessing whether judgements and assumptions made in determining the accounting estimates set out in note 2.5 were indicative of potential bias; and
  • performing analytical procedures to identify any large, unusual or unexpected relationships.
Because of the inherent limitations of an audit, there is a risk that we will not detect all irregularities, including those leading to a material misstatement in the financial statements or non-compliance with regulation. This risk increases the more that compliance with a law or regulation is removed from the events and transactions reflected in the financial statements, as we will be less likely to become aware of instances of non-compliance. The risk is also greater regarding irregularities occurring due to fraud rather than error, as fraud involves intentional concealment, forgery, collusion, omission or misrepresentation.

Notes to the Financial Statements
1. General Information
Now Education Holdings Ltd is a private company, limited by shares, incorporated in England & Wales, registered number 15259849 . The registered office is Fairlawns Studio, Tricorn House, 51 - 53 Hagley Road, Birmingham, West Midlands, B16 8TP.
2. Accounting Policies
2.1. Basis of Preparation of Financial Statements
These financial statements have been prepared in accordance with FRS 102 “The Financial Reporting Standard applicable in the UK and Republic of Ireland” (“FRS 102”) and the requirements of the Companies Act 2006.
The financial statements are prepared in sterling, which is the functional currency of the company. Monetary amounts in these financial statements are rounded to the nearest £.
The financial statements have been prepared under the historical cost convention. The principal accounting policies adopted are set out below.
2.2. Basis Of Consolidation
The consolidated group financial statements consist of the financial statements of the parent company Now
Education Group Limited together with all entities controlled by the parent company (its subsidiaries) and the
group’s share of its interests in joint ventures and associates.
All financial statements are made up to 31 August 2025. Where necessary, adjustments are made to the financial statements of subsidiaries to bring the accounting policies used into line with those used by other members of the group.
All intra-group transactions, balances and unrealised gains on transactions between group companies are eliminated on consolidation. Unrealised losses are also eliminated unless the transaction provides evidence of an impairment of the asset transferred.
Subsidiaries are consolidated in the group’s financial statements from the date that control commences until the date that control ceases.
Entities in which the group holds an interest and which are jointly controlled by the group and one or more other venturers under a contractual arrangement are treated as joint ventures. Entities other than subsidiary undertakings or joint ventures, in which the group has a participating interest and over whose operating and financial policies the group exercises a significant influence, are treated as associates.
Investments in joint ventures and associates are carried in the group balance sheet at cost plus postacquisition changes in the group’s share of the net assets of the entity, less any impairment in value. The carrying values of investments in joint ventures and associates include acquired goodwill.
If the group’s share of losses in a joint venture or associate equals or exceeds its investment in the joint venture or associate, the group does not recognise further losses unless it has incurred obligations to do so or has made payments on behalf of the joint venture or associate.
Unrealised gains arising from transactions with joint ventures and associates are eliminated to the extent of the group’s interest in the entity.
2.3. Business Combinations
Business combinations are accounted for by applying the purchase method.
The cost of a business combination is the fair value of the consideration given, liabilities incurred or assumed and of equity instruments issued plus the costs directly attributable to the business combination. Where control is achieved in stages the cost is the consideration at the date of each transaction.
Contingent consideration is initially recognised at estimated amount where the consideration is probable and can be measured reliably. Where (i) the contingent consideration is not considered probable or cannot be reliably measured but subsequently becomes probable and measurable or (ii) contingent consideration previously measured is adjusted, the amounts are recognised as an adjustment to the cost of the business combination.
On acquisition of a business, fair values are attributed to the identifiable assets, liabilities and contingent liabilities unless the fair value cannot be measured reliably, in which case the value is incorporated in goodwill. Intangible assets are only recognised separately from goodwill where they are separable and arise from contractual or other legal rights. Where the fair value of contingent liabilities cannot be reliably measured they are disclosed on the same basis as other contingent liabilities.
Merger relief
In the prior period, the company issued shares in exchange for shares in one of the subsidiary companies, Now Education Group Limited. The restructure qualified to be accounted for under the merger relief rules under S612 of the Companies Act 2006 and has resulted in the creation of the merger reserve as shown in the balance sheet.

2.4. Going Concern Disclosure
At the time of approving the financial statements, the directors have a reasonable expectation that the group has adequate resources to continue in operational existences for the foreseeable future. Thus the directors continue to adopt the going concern basis of accounting in preparing the financial statements.
2.5. Significant judgements and estimations
In the application of the group’s accounting policies, the directors are required to make judgements, estimates and assumptions about the carrying amount of assets and liabilities that are not readily apparent from other sources. The estimates and associated assumptions are based on historical experience and other factors that are considered to be relevant. Actual results may differ from these estimates.
The estimates and underlying assumptions are reviewed on an ongoing basis. Revisions to accounting estimates are recognised in the period in which the estimate is revised where the revision affects only that period, or in the period of the revision and future periods where the revision affects both current and future periods.
Impairment of debtors
On a period basis management makes an estimation of the recoverability of debtors, Management makes such estimations taking into account their knowledge of the company.
Investment and goodwill impairment
The investment in subsidiary companies and the goodwill arising on consolidation are reviewed on an annual basis by the directors for impairment and an adjustment made in the financial statement accordingly if required. The impairment is based on future budgets of the cash generating units.
2.6. Turnover
Turnover comprises the fair value of the consideration received or receivable for the sale of goods and provision of services in the ordinary course of the group’s activities. Turnover is shown net of sales/value added tax, returns, rebates and discounts.
Temporary staff
The company recognises revenue in relation to the placement of temporary staff in line with the provision of the services provided by those staff.
Permanent staff
The company recognises revenue in relation to the placement of permanent staff at the point at which the staff member is placed with the customer.
2.7. Intangible Fixed Assets and Amortisation - Goodwill
Goodwill is the difference between amounts paid on the acquisition of a business and the fair value of the separable net assets. It is amortised to profit and loss account over its estimated economic life of 10 years.
2.8. Intangible Fixed Assets and Amortisation - Other Intangible
Other intangible assets are software development costs. It is amortised to profit and loss account over its estimated economic life of 3 years.
2.9. Tangible Fixed Assets and Depreciation
Tangible fixed assets are measured at cost less accumulated depreciation and any accumulated impairment losses. Depreciation is provided at rates calculated to write off the cost of the fixed assets, less their estimated residual value, over their expected useful lives on the following bases:
Motor Vehicles 20% reducing balance basis
Fixtures & Fittings 25% straight line basis
Computer Equipment 33% straight line basis
2.10. Investments
A subsidiary is an entity controlled by the group. Control is the power to govern the financial and operating policies of the entity so as to obtain benefits from its activities.

2.11. Leasing and Hire Purchase Contracts
Leases are classified as finance leases whenever the terms of the lease transfer substantially all the risks and rewards of ownership to the lessees. All other leases are classified as operating leases.
Assets held under finance leases are recognised as assets at the lower of the assets fair value at the date of inception and the present value of the minimum lease payments. The related liability is included in the balance sheet as a finance lease obligation. Lease payments are treated as consisting of capital and interest elements. The interest is charged to profit or loss so as to produce a constant periodic rate of interest on the remaining balance of the liability.
Rentals payable under operating leases, including any lease incentives received, are charged to profit or loss on a straight line basis over the term of the relevant lease except where another more systematic basis is more representative of the time pattern in which economic benefits from the leased asset are consumed.
2.12. Cash and Cash Equivalents
Cash and cash equivalents are basic financial assets and include cash in hand and deposits held at call with banks, other short-term highly liquid investments that mature in no more than three months from the date of acquisition and are readily convertible to a known amount of cash with insignificant risk of change in value, and bank overdrafts.
2.13. Financial Instruments
The group has elected to apply the provisions of Section 11 ‘Basic Financial Instruments’ and Section 12 ‘Other Financial Instruments Issues’ of FRS 102 to all of its financial instruments.
Financial instruments are recognised in the group's balance sheet when the group becomes party to the contractual provisions of the instrument.
Financial assets and liabilities are offset and the net amounts presented in the financial statements when there is a legally enforceable right to set off the recognised amounts and there is an intention to settle on a net basis or to realise the asset and settle the liability simultaneously.
Basic financial assets
Basic financial assets, which include debtors and cash and bank balances, are initially measured at transaction price including transaction costs and are subsequently carried at amortised cost using the effective interest method unless the arrangement constitutes a financing transaction, where the transaction is measured at the present value of the future receipts discounted at a market rate of interest. Financial assets classified as receivable within one year are not amortised.
Other financial assets
Other financial assets, including investments in equity instruments which are not subsidiaries, associates or joint ventures, are initially measured at fair value, which is normally the transaction price. Such assets are subsequently carried at fair value and the changes in fair value are recognised in profit or loss, except that investments in equity instruments that are not publicly traded and whose fair values cannot be measured
reliably are measured at cost less impairment.
Impairment of financial assets
Financial assets, other than those held at fair value through profit and loss, are assessed for indicators of impairment at each reporting end date. Financial assets are impaired where there is objective evidence that, as a result of one or more events that occurred after the initial recognition of the financial asset, the estimated future cash flows have been affected. If an asset is impaired, the impairment loss is the difference between the carrying amount and the present value of the estimated cash flows discounted at the asset’s original effective interest rate. The impairment loss is recognised in profit or loss.
If there is a decrease in the impairment loss arising from an event occurring after the impairment was recognised, the impairment is reversed. The reversal is such that the current carrying amount does not exceed what the carrying amount would have been, had the impairment not previously been recognised. The impairment reversal is recognised in profit or loss.
Derecognition of financial assets
Financial assets are derecognised only when the contractual rights to the cash flows from the asset expire or are settled, or when the group transfers the financial asset and substantially all the risks and rewards of ownership to another entity, or if some significant risks and rewards of ownership are retained but control of the asset has transferred to another party that is able to sell the asset in its entirety to an unrelated third party.
Classification of financial liabilities
Financial liabilities and equity instruments are classified according to the substance of the contractual arrangements entered into. An equity instrument is any contract that evidences a residual interest in the assets of the group after deducting all of its liabilities.

2.13. Financial Instruments - continued
Basic financial liabilities
Basic financial liabilities, including creditors, bank loans, loans from fellow group companies and preference shares that are classified as debt, are initially recognised at transaction price unless the arrangement constitutes a financing transaction, where the debt instrument is measured at the present value of the future payments discounted at a market rate of interest. Financial liabilities classified as payable within one year are not amortised.
Debt instruments are subsequently carried at amortised cost, using the effective interest rate method.
Trade creditors are obligations to pay for goods or services that have been acquired in the ordinary course of business from suppliers. Amounts payable are classified as current liabilities if payment is due within one year or less. If not, they are presented as non-current liabilities. Trade creditors are recognised initially at transaction price and subsequently measured at amortised cost using the effective interest method.
Other financial liabilities
Derivatives, including interest rate swaps and forward foreign exchange contracts, are not basic financial instruments. Derivatives are initially recognised at fair value on the date a derivative contract is entered into and are subsequently re-measured at their fair value. Changes in the fair value of derivatives are recognised in profit or loss in finance costs or finance income as appropriate, unless hedge accounting is applied and the hedge is a cash flow hedge.
Debt instruments that do not meet the conditions in FRS 102 paragraph 11.9 are subsequently measured at fair value through profit or loss. Debt instruments may be designated as being measured at fair value through profit or loss to eliminate or reduce an accounting mismatch or if the instruments are measured and their performance evaluated on a fair value basis in accordance with a documented risk management or investment strategy.
Derecognition of financial liabilities
Financial liabilities are derecognised when the group's contractual obligations expire or are discharged or cancelled.
2.14. Interest Payable
Bank interest payable is recognised on an accruals basis in accordance with FRS 102, Section 11 & 12 and is included within finance costs in the profit and loss account. 
2.15. Taxation
Income tax expense represents the sum of the tax currently payable and deferred tax.
Current tax
The tax currently payable is based on taxable profit for the year. Taxable profit differs from profit as reported in the statement of comprehensive income because of items of income or expense that are taxable or deductible in other years and items that are never taxable or deductible. The group's liability for current tax is calculated using tax rates that have been enacted or substantively enacted by the end of the reporting period.
Deferred tax
Deferred tax is recognised on timing differences between the carrying amounts of assets and liabilities in the financial statements and the corresponding tax bases used in the computation of taxable profit. Deferred tax liabilities are generally recognised for all taxable timing differences. Deferred tax assets are generally recognised for all deductible temporary differences to the extent that it is probable that taxable profits will be available against which those deductible timing differences can be utilised. The carrying amount of deferred tax assets is reviewed at the end of each reporting period and reduced to the extent that it is no longer probable that sufficient taxable profits will be available to allow all or part of the asset to be recovered.
Deferred tax assets and liabilities are measured at the tax rates that are expected to apply in the period in which the liability is settled or the asset realised, based on tax rates (and tax laws) that have been enacted or substantively enacted by the end of the reporting period. Deferred tax liabilities are presented within provisions for liabilities and deferred tax assets within debtors. The measurement of deferred tax liabilities and assets reflect the tax consequences that would follow from the manner in which the Company expects, at the end of the reporting period, to recover or settle the carrying amount of its assets and liabilities.
Current and deferred tax are recognised in profit or loss for the year, except when they relate to items that are recognised in other comprehensive income or directly in equity, in which case current and deferred tax are recognised in other comprehensive income or directly in equity respectively.
2.16. Employee Benefits
The costs of short-term employee benefits are recognised as a liability and an expense, unless those costs are required to be recognised as part of the cost of stock of fixed assets.
The cost of any unused holiday entitlement is recognised in the period in which the employee's services are received.
Termination benefits are recognised immediately as an expense when the group is demonstrably committed to terminate the employment of an employee or to provide termination benefits.

12. Prior Period Adjustment
