| The trustees who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 30 September 2025. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019). |
| OBJECTIVES AND ACTIVITIES |
| Objectives and aims |
| The charity's objects are specifically restricted to the following for the public benefit in Kenilworth and the surrounding area ("The district"): (i). to promote, improve and further the interests and understanding of all branches of agriculture in the district; (ii). to encourage all aspects of agricultural work by shows, demonstrations, competitions, exhibitions and instruction classes, and any one of them; (iii). to promote the improvement of the breeding of all classes of livestock; and (iv). such other purposes which may be charitable according to the law of England and Wales as the directors see fit from time to time. |

| ACHIEVEMENTS AND PERFORMANCE |
| Charitable activities |
| The Kenilworth & District Agricultural Society (KADAS) is a charitable organisation with a proud heritage spanning more than 80 years. Founded to bring the rural community together, the Society continues to support local farmers in achieving the highest standards of husbandry while promoting public understanding of agriculture, food production, and countryside management. Based in Warwickshire, KADAS serves both rural and urban audiences, providing a vital link between the public and the agricultural sector. |
| The Society fulfils its objectives through a variety of initiatives, including annual crop and livestock competitions, support for local Young Farmers Clubs, and the Young Farmer of the Year competition, with the Kenilworth Show remaining its flagship event. Working closely with the Kenilworth & District Young Farmers, the Society actively involves young people in planning and delivering events, recognising their vital role in sustaining the industry and ensuring the Society's continued relevance. The Young Farmer of the Year Award once again celebrated individuals who demonstrated exceptional knowledge, innovation, and commitment, while a Young Farmers Club representative serving on the Society's Board-this year elected as Vice Chairman-ensures that the voice of youth remains central to decision-making. |
| After a hiatus in 2024, the 2025 Kenilworth Show marked a triumphant return, celebrating agriculture, community, and countryside life. The event proved highly engaging, educational, and enjoyable for visitors of all ages, receiving widespread praise from exhibitors, sponsors, and the public alike. Highlights included vibrant trade stands, popular main ring attractions, and the ever-busy Village Green, alongside the largest display of vintage and modern machinery seen for several years and a highly successful livestock parade in the main ring-both of which drew considerable attention and admiration. These elements combined to create a lively and welcoming atmosphere, strengthened further by extensive media coverage and strong social media engagement, which significantly enhanced the Society's profile. |
| The success of the 2025 Show reflects the dedication of the Society's volunteers, partners, and young members, whose hard work ensured a professional, inclusive, and community-focused event. Building on this success, preparations for the 2026 Show are already well underway, with plans to enhance the visitor experience through a refreshed showground layout, an expanded Food Hall, and new interactive agricultural displays designed to engage, educate, and inspire. These additions will complement the Show's well-established equine, livestock, and countryside sections, its busy and entertaining main ring programme, and its many well-supported trade stands. |
| Throughout the year, the Society remained active and visible, hosting a diverse programme of events that united members, promoted best practice, and celebrated local farming and rural life. Highlights included the crop and livestock competitions, the annual awards presentation, and lectures from Nuffield Scholars, which showcased |
| the latest innovations and research shaping the future of agriculture. Building on previous successes, this year's competitions once again attracted strong participation across most classes, with judges commending the high standards of husbandry and stockmanship demonstrated by all entrants. |
| The Society also continues to support a range of local and national farming charities, recognising the essential work they do in sustaining the agricultural sector and supporting rural communities through challenging times. |
| The past year was also marked by renewal and fresh leadership. With a new Chair, President, and Vice-President taking office, alongside newly appointed Trustees, the Society has embraced new energy, ideas, and perspectives while remaining true to its long-standing traditions and core objectives. This refreshed leadership team is committed to exploring innovative ways to engage members, young farmers, and the wider community, ensuring the Society remains vibrant, relevant, and forward-thinking. |
| With this combination of experience, enthusiasm, and a clear vision for the future, the Trustees are confident that the Society is well-positioned to build on its achievements and continue delivering impactful, engaging, and inspiring initiatives for members, farmers, and the wider community in 2026 and beyond. |
| STRUCTURE, GOVERNANCE AND MANAGEMENT |
| Governing document |
| The charity is a charitable company limited by guarantee, governed by its Memorandum and Articles of Association. The Memorandum and Articles were incorporated on 2 June 1998. The Articles were adopted by special resolution dated 7 December 2015. The trustees, who are directors for the purpose of company law and trustees for the purpose of charity law, who served during the year are set out above. The trustees of the charitable company guarantee to contribute an amount not exceeding £1 to the assets of the charitable company in the event of a winding up. |

| I report to the charity trustees on my examination of the accounts of the Company for the year ended 30 September 2025. |
| Responsibilities and basis of report |
| As the charity's trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act'). |
| Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under Section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under Section 145(5) (b) of the 2011 Act. |

| I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe: |
| 1. | accounting records were not kept in respect of the Company as required by Section 386 of the 2006 Act; or |
| 2. | the accounts do not accord with those records; or |
| 3. | the accounts do not comply with the accounting requirements of Section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or |

| Basis of preparing the financial statements |
| The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention, with the exception of investments which are included at market value, as modified by the revaluation of certain assets. |

| All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably. |
| Expenditure |
| Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources. |
