For the financial year ended 31 December 2025 the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies.
The members have not required the company to obtain an audit of its financial statements for the year in question in accordance with section 476.
The directors acknowledge their responsibilities for complying with the requirements of the Companies Act 2006 with respect to accounting records and the preparation of financial statements.
These financial statements have been prepared and delivered in accordance with the provisions applicable to companies subject to the small companies regime.
The directors of the company have elected not to include a copy of the income statement within the financial statements.true

Accounting policies
Company information
Texchem UK Ltd is a private company limited by shares incorporated in England and Wales. The registered office is Holmes Mill, Holmes Street, Rochdale, Lancashire, United Kingdom, OL12 6AQ.
1.1
Basis of preparation
These financial statements have been prepared in accordance with FRS 102 “The Financial Reporting Standard applicable in the UK and Republic of Ireland” (“FRS 102”) and the requirements of the Companies Act 2006 as applicable to companies subject to the small companies regime. The disclosure requirements of section 1A of FRS 102 have been applied other than where additional disclosure is required to show a true and fair view.
The financial statements have been prepared under the historical cost convention. The principal accounting policies adopted are set out below.
1.2
Revenue
Turnover is recognised when the significant risks and rewards of ownership of the goods has transferred to the buyer, which is usually at the point the customer has signed for the goods, at the fair value of the consideration received or receivable, net of Value Added Tax.
1.3
Intangible fixed assets other than goodwill
Licences are measured at cost less accumulated amortisation and any accumulated impairment losses.
Amortisation is recognised so as to write off the cost or valuation of assets less their residual values over their useful lives on the following bases:

Tangible fixed assets
Tangible fixed assets are initially measured at cost and subsequently measured at cost or valuation, net of depreciation and any impairment losses.

The gain or loss arising on the disposal of an asset is determined as the difference between the sale proceeds and the carrying value of the asset, and is credited or charged to profit or loss.
1.5
Impairment of fixed assets
At each reporting date assets are reviewed to determine whether there is any indication that those assets have suffered an impairment loss. If there is an indication of possible impairment, the recoverable amount of any affected asset is estimated and compared with its carrying amount. If the recoverable amount is lower, the carrying amount of the asset is reduced to its recoverable amount and an impairment loss is recognised immediately in the profit or loss.
If an impairment loss is subsequently reversed, the carrying amount of the asset is increased to the revised estimate of its recoverable amount, but not to exceed the amount that would have been determined had no impairment loss been recognised for the asset in prior periods. A reversal of an impairment loss is recognised immediately in the profit or loss.

Stocks
Stocks are stated at the lower of cost and estimated selling price less costs to complete and sell. Cost comprises direct materials and, where applicable, direct labour costs and those overheads that have been incurred in bringing the stocks to their present location and condition.
1.7
Financial instruments
Short term financial assets, including trade, other debtors, creditors and related undertakings, are measured at the transaction price. Financial assets that have no stated interest rate and are recoverable within one year shall be measured at the undiscounted amount due.
Short term financial liabilities, including trade and other creditors and bank balances, are measured at the transaction price. Financial liabilities that have no stated interest rate and are payable within one year shall be measured at the undiscounted amount due.
Related party loans have no stated interest rate, are payable on demand and are measured at the undiscounted amount due.

Taxation
The tax expense represents the sum of the tax currently payable and deferred tax.
Current tax
The tax currently payable is based on taxable profit for the year. Taxable profit differs from net profit as reported in the income statement because it excludes items of income or expense that are taxable or deductible in other years and it further excludes items that are never taxable or deductible. The company’s liability for current tax is calculated using tax rates that have been enacted or substantively enacted by the reporting end date.
Deferred tax
Deferred tax liabilities are generally recognised for all timing differences and deferred tax assets are recognised to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits. Such assets and liabilities are not recognised if the timing difference arises from goodwill or from the initial recognition of other assets and liabilities in a transaction that affects neither the tax profit nor the accounting profit.

Employee benefits
The company operates a defined contribution pension scheme. Contributions payable to the company's pension scheme are charged to profit or loss in the period to which they relate.
Short term employee benefits are recognised as an expense in the period in which they are incurred.
1.10
Foreign exchange
Assets and liabilities in foreign currencies are translated into sterling at the rates of exchange ruling at the statement of financial positionstatement of financial position date. Transactions in foreign currencies are translated into sterling at the rate of exchange ruling at the date of transaction. Exchange differences are taken into account in arriving at the operating result.

Secured debts relating to invoice discounting of £392,314 (2024: £277,629) are included within creditors.
The invoice discounting facility is secured by way of a fixed charge on all the assets of the company.

Financial commitments, guarantees and contingent liabilities
The company had total operating lease commitments at the balance sheet date of £147,000 (2024: £191,000).

Events after the reporting date
Since the year end it has been agreed that a dividend of £400,000 will be paid to the shareholders.

Related party transactions
The company has taken advantage of exemption, under the terms of Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland', not to disclose related party transactions with wholly owned subsidiaries within the group.
CTF 2000 nv is a fellow group member and a major supplier to the company. The net trade between the companies was £3,487,797 (2024: £3,240,674), with £241,720 (2024: £193,187) outstanding at the year end. Consultancy services were also procured from the company, this amounted to £12,000 (2024: £12,000) with £Nil (2024: £Nil) outstanding at the year end.
During the year the company credited funds amounting to £300,000 (2024: £250,000) and paid £550,000 (2024: £Nil) to a fellow group company with £Nil (2024: £250,000) outstanding at the year end. Loan interest amounting to £5,416 (2024: £5,500) is accrued. Loan interest is accruing at 1.25%.

The ultimate parent company is Flamaway Group nv, a company registered in Belgium. The registered office and principal place of business is Baaikensstraat 11, 9240 Zele, Belgium.
The company is controlled by the Directors of Flamaway Group nv, the ultimate parent company.
