For the period ending 30 September 2025 the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies.
The members have not required the company to obtain an audit in accordance with section 476 of the Companies Act 2006.
The directors acknowledge their responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.
These accounts have been prepared and delivered in accordance with the provisions applicable to companies subject to the small companies regime.
The company has taken advantage of section 444(1) of the Companies Act 2006 and opted not to deliver to the registrar a copy of the company's Income and Expenditure Account.

Notes to the Financial Statements
1. General Information
Bowdon Club Ltd is a private company, limited by guarantee, incorporated in England & Wales, registered number 14140502 . The registered office is Bowdon Cricket Hockey & Squash Club, South Downs Road, Bowdon, Altrincham, Cheshire, WA14 3DT.
2. Accounting Policies
2.1. Basis of Preparation of Financial Statements
The financial statements have been prepared under the historical cost convention and in accordance with Financial Reporting Standard 102 Section 1A Small Entities, 'The Financial Reporting Standard applicable in the UK and Republic of Ireland,' and the Companies Act 2006, reflecting the assets and liabilities of the undertaking at book values in order to reflect the continuity of membership and activities.
Transfer of undertaking from unincorporated association
On 30 June 2024, the company acquired the activities, assets and liabilities of Bowdon Cricket Hockey and Squash Club, an unincorporated association. The transaction has been accounted for as an acquisition of the undertaking.
The assets and liabilities transferred have been recognised in the financial statements from the date of transfer at the values adopted by the directors, having regard to the nature of the transaction and the continuity of membership. The results of the transferred undertaking are included in the financial statements from the date of transfer only. Comparative figures relate solely to the company and do not include the pre-transfer activities, assets or liabilities of the former unincorporated association.
Net assets transferred totalled £597,453 with consideration being the assumption by the company of “Assumed Liabilities” (which includes the Bounce Back loan) along with the admission to its membership of the existing members of the Club at incorporation. The resulting net assets have been credited to members’ funds.
2.2. Turnover
The company is not a trading entity in the conventional sense. Accordingly, the term “turnover” as used in these financial statements represents income derived from the club’s activities.
Income is measured at the fair value of the consideration received or receivable, net of discounts and value added tax where applicable. Income includes membership subscriptions, match fees, bar takings, sponsorship, and other receipts arising from the club’s activities.
Income is recognised when the club becomes entitled to the income and the amount can be measured reliably.
2.3. Tangible Fixed Assets and Depreciation
Tangible fixed assets are measured at cost less accumulated depreciation and any accumulated impairment losses. On incorporation, the freehold property transferred from the former unincorporated club was recognised at its book value at the date of transfer. Depreciation is provided at rates calculated to write off the cost of the fixed assets, less their estimated residual value, over their expected useful lives on the following bases:

2.4. Stocks and Work in Progress
Stocks and work in progress are valued at the lower of cost and net realisable value after making due allowance for obsolete and slow-moving stocks. Cost includes all direct costs and an appropriate proportion of fixed and variable overheads.

2.5. Taxation
As a member's sports club, the Club is only liable to tax on its non-mutual trading, primarily hire income and profits from external fundraising events.
Income tax expense represents the sum of the tax currently payable and deferred tax.
The tax currently payable is based on taxable surplus for the year. Taxable surplus differs from surplus as reported in the statement of comprehensive income because of items of income or expense that are taxable or deductible in other years and items that are never taxable or deductible. The company's liability for current tax is calculated using tax rates that have been enacted or substantively enacted by the end of the reporting period.
Deferred tax is recognised on timing differences between the carrying amounts of assets and liabilities in the financial statements and the corresponding tax bases used in the computation of taxable surplus. Deferred tax liabilities are generally recognised for all taxable timing differences. Deferred tax assets are generally recognised for all deductible temporary differences to the extent that it is probable that taxable surplus will be available against which those deductible timing differences can be utilised. The carrying amount of deferred tax assets is reviewed at the end of each reporting period and reduced to the extent that it is no longer probable that sufficient taxable surplus will be available to allow all or part of the asset to be recovered.
Deferred tax assets and liabilities are measured at the tax rates that are expected to apply in the period in which the liability is settled or the asset realised, based on tax rates (and tax laws) that have been enacted or substantively enacted by the end of the reporting period. Deferred tax liabilities are presented within provisions for liabilities and deferred tax assets within debtors. The measurement of deferred tax liabilities and assets reflect the tax consequences that would follow from the manner in which the Company expects, at the end of the reporting period, to recover or settle the carrying amount of its assets and liabilities.
Current and deferred tax are recognised in surplus or deficit for the period, except when they relate to items that are recognised in other comprehensive income or directly in equity, in which case current and deferred tax are recognised in other comprehensive income or directly in equity respectively.
2.6. Pensions
The company operates a defined contribution pension scheme. Contributions are charged to the Income and Expenditure Account as they become payable in accordance with the rules of the scheme.
2.7. Comparative figures
The comparative figures relate solely to the company as a separate legal entity. As the company acquired the undertaking of Bowdon Cricket Hockey and Squash Club, an unincorporated association, on 30 June 2024, the comparative figures do not include the pre-transfer activities, assets or liabilities of the former unincorporated association.
Accordingly, the current year figures are not directly comparable with the prior year to the extent they include the results and balances of the transferred undertaking from 30 June 2024.
2.8. Grant
Grants received in connection with identifiable capital projects are credited to deferred income. The deferred income is amortised into the revenue account on a basis consistent with depreciation charged on the related fixed assets.
2.9. Leases
Rentals payable under operating leases are charged to income and expenditure on a straight line basis over the term of the relevant lease.

Leasehold Property and Land Acquisition
Following the transfer of the undertaking from the Bowdon Cricket Hockey and Squash Club, the Club acquired two leasehold interests. One of the leasehold interests was acquired at nil cost, and the other was recognised at an initial cost of £10,000, representing the historical cost of the interest acquired in 1997. These interests continue to be held at cost and are not amortised, in accordance with the accounting policy.

10. Capital Grants
On 30 June 2024, the Club took over the assets and liabilities of Bowdon Cricket Hockey and Squash Club, an unincorporated association., which included a new tractor and equipment acquired on 1 December 2023 for £38,870 and a related capital grant of £29,153 (75% of cost) from The Football Foundation. In accordance with FRS 102, the transferred grant is held as deferred income and continues to be released to the Profit and Loss account over the remainder of its 5-year useful life to match the ongoing depreciation charge of the asset. Included in note 7 is £5,808 in respect of the grant and note 8 includes the balance of grant deferred of £13,582.
11. Reserves
The company is limited by guarantee and does not have share capital.
Included within reserves are balances arising on the transfer of the undertaking of Bowdon Cricket Hockey and Squash Club, an unincorporated association, on 30 June 2024. These balances comprise:

11. Reserves - continued
The sinking fund reserve relates to the estimated cost of the new hockey pitch amounting to £330,000. All other items in the reserve transferred from the unicorporated entity have either been expensed or are no longer in expenditure plans.
There is not necessarily cash or funding allocated specifically for the full value of the project, some of which may be funded through external financing - either in the form of financing from members or third-party financing where required.
Contained within the bank balances are funds allocated to the new hockey pitch amounting to £102,000 made up of monies from the hockey section and legacies received from the late David Leese amounting to £30,000 and £5,000 from the late John Neill.
12. Company limited by guarantee
The company is limited by guarantee and does not have a share capital. Each member undertakes to contribute to the assets of the company in the event of the company being wound up while they are a member, or within one year of ceasing to be a member, such amount as may be required, not exceeding £1.
13. Leases
At the reporting end date the company had outstanding commitments for future minimum lease payments under non cancellable operating leases amounting to £ 17,723 (2024 £0)
