Notes to the Financial Statements
1. General Information
Damper Technology Limited is a private company, limited by shares, incorporated in England & Wales, registered number 04137081 . The registered office is Meadowbank House, Meadowbank Court, Eastwood, Nottingham, NG16 3SL.
2. Accounting Policies
2.1. Basis of Preparation of Financial Statements
The financial statements have been prepared under the historical cost convention and in accordance with Financial Reporting Standard 102 section 1A Small Entities "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Companies Act 2006.
The company has taken advantage of the exemption under section 401 of the Companies Act 2006 not to prepare consolidated accounts. The financial statements present information about the company as an individual entity and not about its group.   
Damper Technology Limited is a subsidiary of AVK Holding A/S and the results of Damper Technology Limited are included in the consolidated financial statements of AVK Holding A/S which are available from Central Business Register, Denmark.
2.2. Turnover
Turnover is measured at the fair value of the consideration received or receivable, net of discounts and value added taxes. Turnover includes revenue earned from the sale of goods and from the rendering of services. Turnover is reduced for estimated customer returns, rebates and other similar allowances.
Sale of goods
Turnover from the sale of goods is recognised when the significant risks and rewards of ownership of the goods has transferred to the buyer. This is usually at the point that the customer has signed for the delivery of the goods.
Rendering of services
Turnover from the rendering of services is recognised by reference to the stage of completion of the contract. The stage of completion of a contract is measured by comparing the costs incurred for work performed to date to the total estimated contract costs. Turnover is only recognised to the extent of recoverable expenses when the outcome of a contract cannot be estimated reliably.
2.3. Tangible Fixed Assets and Depreciation
Tangible fixed assets are measured at cost less accumulated depreciation and any accumulated impairment losses. Depreciation is provided at rates calculated to write off the cost of the fixed assets, less their estimated residual value, over their expected useful lives on the following bases:
Plant & Machinery 10% and 33% straight line
Motor Vehicles 20% straight line
Fixtures & Fittings 20% straight line
Computer Equipment 20% and 33% straight line
2.4. Leasing and Hire Purchase Contracts
Assets obtained under finance leases are capitalised as tangible fixed assets. Assets acquired under finance leases are depreciated over the shorter of the lease term and their useful lives. Assets acquired under hire purchase contracts are depreciated over their useful lives. Finance leases are those where substantially all of the benefits and risks of ownership are assumed by the company. Obligations under such agreements are included in the creditors net of the finance charge allocated to future periods. The finance element of the rental payment is charged to the profit and loss account so as to produce a constant periodic rate of charge on the net obligation outstanding in each period.
Rentals applicable to operating leases where substantially all of the benefits and risks of ownership remain with the lessor are charged to the profit and loss account as incurred.
2.5. Stocks and Work in Progress
Stocks and work in progress are valued at the lower of cost and net realisable value after making due allowance for obsolete and slow-moving stocks. Cost includes all direct costs and an appropriate proportion of fixed and variable overheads. Work-in-progress is reflected in the accounts on a contract by contract basis by recording turnover and related costs as contract activity progresses.

2.6. Foreign Currencies
Monetary assets and liabilities in foreign currencies are translated into sterling at the rates of exchange ruling at the balance sheet date. Transactions in foreign currencies are translated into sterling at the rate ruling on the date of the transaction. Exchange differences are taken into account in arriving at the operating profit.
2.7. Taxation
Income tax expense represents the sum of the tax currently payable and deferred tax.
The tax currently payable is based on taxable profit for the year. The company's liability for current tax is calculated using tax rates that have been enacted or substantively enacted by the end of the reporting period.
Deferred tax is recognised on timing differences between the carrying amounts of assets and liabilities in the financial statements and the corresponding tax bases used in the computation of taxable profit. The carrying amount of deferred tax assets is reviewed at the end of each reporting period.
Deferred tax assets and liabilities are measured at the tax rates that are expected to apply in the period in which the liability is settled or the asset realised, based on tax rates (and tax laws) that have been enacted or substantively enacted by the end of the reporting period. Deferred tax liabilities are presented within provisions for liabilities and deferred tax assets within debtors.
2.8. Presentation currency and rounding
The financial statements are presented in pounds sterling (£), which is the functional and presentation currency of the entity. Unless otherwise stated, amounts are rounded to the nearest pound.
2.9. Investments
Investments in equity shares which are publicly traded or where the fair value can be measured reliably are initially measured at fair value, with changes in fair value recognised in profit or loss. Investments in equity shares which are not publicly traded and where fair value cannot be measured reliably are measured at cost less impairment.
3. Average Number of Employees
Average number of employees, including directors, during the year was: 39 (2024: 40)

4. Prior Period Adjustment
The prior year's figures have been adjusted due to restating the way the work in progress was disclosed.
The impact of the adjustment was to decrease stocks and work in progress by £976,836, increase debtors by £573,050 and decrease creditors due within one year by £403,786.
There has also been a prior year adjustment made to correctly disclose a creditor which had been offset against debtors.  The impact of this has been to increase debtors by £14,957 and increase creditors due within one year by £14,957.
The net impact of these adjustments on the opening shareholders' funds position is £nil.

15. Related Party Transactions
During the year sales were made to Damper Technology India Private Limited, a subsidiary company, of £5,213 (2024: £13,310), and there were purchases of £312,824 (2024: £57,448). At 30 September 2025 there was a net trading balance owed to them of £240,181 (2024: £14,958).
There was also a loan balance of £13,953 (2024: £24,413) due from Damper Technology India Private Limited
At 30 September 2025, a loan balance of £267,165 (2024: £276,029) was due from Orbinox DTL Canada Limited, a subsidiary company.
At 30 September 2025, a loan balance of £17,804 (2024: £10,801) owed to Damper Technology Europe IVS, a subsidiary company.
During the year purchases were made from AVK Holdings A/S, a group company, of £4,907 (2024: nil). At 30 September 2025, a trading balance of £4,907 (2024: nil) was owed to them.
During the year sales were made to Watecom International Water Network LLC, a group company, of £131,872 (2024: £303,402). At 30 September 2025 there was a trading balance of £111,832 (2024: nil) due from them.
During the year sales were made to Orbinox Brazil Industria E Comercio LTDA, a group company, of £72,428 (2024: £126,418).
During the year purchases were made from InterApp Polska Sp. Z o o., a group company, of £67,503 (2024: £8,588).
During the year purchases were made from Orbinox Valves International S.L., a group company, of £3,789 (2024: £3,896).
During the year no purchases were made from Orbinox UK Limited, a group company (2024: £5,939).
16. Parent Undertaking and Controlling Party
The company's immediate parent company is Orbinox Valves International SL . Orbinox Valves International SL was incorporated in Spain. The most senior parent entity producing publicly available financial statements is AVK Holding A/S, registered in Denmark. The ultimate controlling party is Niels Aage Kjær .
