The directors acknowledge their responsibilities for complying with the requirements of the Companies Act 2006 with respect to accounting records and the preparation of financial statements.

The financial statements have been prepared in accordance with the provisions applicable to companies subject to the small companies regime and in accordance with the provisions of FRS 102 Section 1A - small entities.

The financial statements have been delivered in accordance with the provisions applicable to companies subject to the small companies regime.

The company has opted not to file the statement of comprehensive income in accordance with provisions applicable to companies subject to the small companies' regime.

NLJIS Holdings Limited ('the company') is a private company limited by shares, incorporated and domiciled in the United Kingdom and registered in England. The address of the registered office is Victoria House, Toward Road, Sunderland, Tyne and Wear, SR1 2QF.

Statement of compliance

The financial statements have been prepared in accordance with Section 1A of Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the United Kingdom and the Republic of Ireland' (FRS 102) and the Companies Act 2006.

Intangible assets

Goodwill
Goodwill represents the difference between amounts paid on the cost of a business combination and the acquirer’s interest in the fair value of its identifiable assets and liabilities of the acquiree at the date of acquisition. Subsequent to initial recognition, goodwill is measured at cost less accumulated amortisation and accumulated impairment losses. Goodwill is amortised on a straight-line basis to the statement of comprehensive income over its useful economic life as shown below.

Valuation of investments

Investments in subsidiaries are measured at cost less accumulated impairment.

Debtors

Short-term debtors are measured at transaction price, less any impairment. Loans receivable are measured initially at fair value, net of transaction costs, and are measured subsequently at amortised cost using the effective interest method, less any impairment.

Financial instruments

Financial instruments are classified and accounted for, according to the substance of the contractual arrangement, as either financial assets, financial liabilities or equity instruments. An equity instrument is any contract that evidences a residual interest in the assets of the company after deducting all of its liabilities.

Related party transactions

Transactions with directors
During the year the company operated a current account with the directors. The net amount due to the directors at the year end was £83,601 (2024: £245,936). This loan is unsecured, repayable on demand and incurs interest where the balance is overdrawn.
Just Insurance Agents Limited
Just Insurance Agents Limited is a subsidiary undertaking of this company. During the year Just Insurance Agents Limited advanced NLJIS Holdings Limited £325,898 (2024 - £216,785) and met expenditure on behalf of NLJIS Holdings Limited amounting to £424 (2024 - £2,840).  NLJIS Limited repaid £330,000 (2024 - £260,0000) to Just Insurance Agents Limited during the year. At the balance sheet date Just Insurance Agents Limited were owed £953,860 (2024 - £957,538).  The company has not been charged interest on on this amount.
