| Basis of preparing the financial statements |
| Turnover |
| Turnover is measured at the fair value of the consideration received or receivable, net of discounts and value added taxes. |
| Turnover includes placement revenue to the extent advertisement have been executed within the period and the CPS commission revenue which arises when the merchant confirms the total commission and ready to pay to the company. |
| Commission Revenue is recognised on receipt basis due to reliability and accountability consideration on: |
| -- unpredictable return % from transaction date and normally the return period last for more than 90 days |
| -- unpredictable cancellation % from advertisers due to invalid promotions |
| -- unforeseen bankruptcy of merchants listing on affiliate network |
| Taxation |
| Taxation for the year comprises current and deferred tax. Tax is recognised in the Income Statement, except to the extent that it relates to items recognised in other comprehensive income or directly in equity. |
| Current or deferred taxation assets and liabilities are not discounted. |
| Current tax is recognised at the amount of tax payable using the tax rates and laws that have been enacted or substantively enacted by the balance sheet date. |
| Deferred tax |
| Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the balance sheet date. |
| Timing differences arise from the inclusion of income and expenses in tax assessments in periods different from those in which they are recognised in financial statements. Deferred tax is measured using tax rates and laws that have been enacted or substantively enacted by the year end and that are expected to apply to the reversal of the timing difference. |
| Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits. |
| Research and development |
| Expenditure on research and development is written off in the year in which it is incurred. |
| Foreign currencies |
| Assets and liabilities in foreign currencies are translated into sterling at the rates of exchange ruling at the balance sheet date. Transactions in foreign currencies are translated into sterling at the rate of exchange ruling at the date of transaction. Exchange differences are charged to profit or loss. |
| Pension costs and other post-retirement benefits |
| The company operates a defined contribution pension scheme. Contributions payable to the company's pension scheme are charged to profit or loss in the period to which they relate. |

| Going concern |
| At the year end, the Company incurred a net loss of £385,340 and net current liability of £197,998. Included in the current liability is dividends payable owed to its immediate parent amounting to £300,000 (2024: £nil). The Company's ultimate parent undertaking, Pricetrace LLC, has provided a letter of support confirming its intention to provide such financial assistance as may be necessary to enable the Company to meet its liabilities as they fall due for a period of at least twelve months from the date of approval of these financial statements. Additionally, the immediate parent will not demand repayment of any amounts currently owed by the Company unless repayment can be made without adversely affecting the Company's ability to continue trading. |
| After considering the current position, future trading prospects, and the support provided by the ultimate parent, the directors have a reasonable expectation that the Company will have adequate resources to continue in operational existence for the foreseeable future. Accordingly, the financial statements have been prepared on a going concern basis. |
| Other operating income |
| Other operating income represents income from client overpayments. This is initially recognised as liability within Other Creditors and subsequently recognised as other operating income when the Company is no longer required to refund the overpayment, and the likelihood of a future claim is remote based on applicable contractual terms, legal requirements, and historical experience, the liability is derecognized. |
| Dividends |
| Dividends declared to shareholders are recognized as a liability when approved by the shareholders or when the Company has a legal obligation to make the payment. Dividends are accounted for as a distribution of retained earnings and are not recognized as an expense in profit or loss. |
