For the year ending 30 September 2025 the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies. The members have not required the company to obtain an audit in accordance with section 476 of the Companies Act 2006.
The director acknowledges his responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.
These accounts have been prepared and delivered in accordance with the provisions applicable to companies subject to the small companies' regime and in accordance with the provisions of FRS 102 Section 1A - Small Entities. The profit and loss account has not been delivered to the Registrar of Companies.

Compliance with accounting standards
The accounts have been prepared in accordance with the provisions of FRS 102 Section 1A Small Entities. There were no material departures from that standard.
The principal accounting policies adopted in the preparation of the financial statements are set out below and have remained unchanged from the previous year, and also have been consistently applied within the same accounts.
The accounts have been prepared under the historical cost convention as modified by the revaluation of certain fixed assets.
The accounts are presented in £ sterling.
Tangible fixed assets and depreciation
Tangible assets are included at cost less depreciation and impairment. Depreciation has been provided at the following rates in order to write off the assets over their estimated useful lives:

The company is exempt from pension auto-enrolment by reason that the business is comprised of one director. The company recognises that it will be required to opt-in to pension enrolment in the event that any employees are recruited.
Investment property is land and buildings held to earn rental income or for capital appreciation. It is initially measured at cost. This includes purchase price and directly attributable expenditure. After initial recognition, investment properties are measured at fair value. Changes in fair value are recognised in the profit and loss account. No depreciation is provided on investment property.

Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the balance sheet date, where transactions or events have resulted in an obligation to pay more tax in the future or a right to pay less tax in the future.
A deferred tax asset is recognised only when it is regarded as more likely than not that there will be suitable future taxable profits against which the deferred tax asset can be recovered.
Deferred tax is measured using tax rates that have been enacted or substantively enacted by the balance sheet date and is not discounted.
Deferred tax is recognised on the revaluation of investment properties, even when there is no intention to sell the property. The associated deferred tax is calculated based on the difference between the carrying amount of the property and its tax base, using the applicable tax rate.
The deferred tax impact is recognised in the profit and loss account, in line with the treatment of the underlying fair value movement.
During the financial year, the directors identified that a property had been incorrectly classified within Tangible Fixed Assets (Land and Buildings) in prior periods, despite meeting the definition of an Investment Property under FRS 102 Section 16.
To correct this error, a prior period adjustment has been made to retrospectively reclassify the asset and restate the comparative figures.

Included within bank loans is £9,719 (2024: £0) representing the current portion of the commercial mortgage repayable within 12 months.
Also included is a commercial bridging loan of £118,317 (2024: £Nil). This bridging loan is secured by a second fixed charge over the property at 3 Orchard Gardens, Bristol, BS15 9UA, carries interest at 0.85% per month, and is due for full repayment on 22nd December 2025.

Transactions with related parties
At the balance sheet date, the company owed the following amounts to fellow group undertakings:
£500,000 (2024: £Nil) owed to The Construction Governance Group Ltd ,a company controlled by the sole director of this company
£100,000 (2024: £75,000) owed to Longwood Business Support Ltd, a fellow subsidiary undertaking
The loans are unsecured, interest-free, and repayable on demand.
