| Basis of preparing the financial statements |
| The financial statements have been prepared on a basis other than going concern. Accordingly, although the accounts are prepared in accordance with FRS 102, the measurement basis has been modified from the historical cost convention such that assets are stated at their estimated realisable amounts and liabilities are stated at the amounts expected to be settled. The parent undertaking has undertaken to bear the costs directly associated with the winding up of the company. |
| The presentation currency of the financial statements is the Pound Sterling (£). Pound Sterling (£) is also the functional currency. |
| Critical accounting judgements and estimates |
| The preparation of these financial statements requires management to make judgements, estimates and assumptions that affect the application of policies and reported amounts of assets and liabilities, income and expenses. |
| Judgements and estimates are continually evaluated and are based on historical experiences and other factors, including expectations of future events that are believed to be reasonable under the circumstances. |
| The company makes estimates and assumptions concerning the future.The resulting accounting estimates will, by definition, seldom equal the related actual results. The estimates and assumptions that have a significant risk of causing a material adjustment to the carrying amounts of assets and liabilities within the next financial year are discussed below. |
| Provision for doubtful debts |
| The company makes an estimate of the recoverable value of trade and other debtors. The company uses estimates based on historical experience in determining the level of debts, which the company believes, will not be collected. These estimates include such factors as the current credit rating of the debtor, the ageing profile of debtors and historical experience. Any significant reduction in the level of customers that default on payments or other significant improvements that resulted in a reduction in the level of bad debt provision would have a positive impact on the operating results. The level of provision required is reviewed on an on-going basis. |

| Turnover is measured at the fair value of the consideration received or receivable, excluding discounts, rebates, value added tax and other sales taxes. |

| Taxation |
| Taxation for the year comprises current and deferred tax. Tax is recognised in the Income Statement, except to the extent that it relates to items recognised in other comprehensive income or directly in equity. |
| Current or deferred taxation assets and liabilities are not discounted. |
| Current tax is recognised at the amount of tax payable using the tax rates and laws that have been enacted or substantively enacted by the balance sheet date. |
| Pension costs and other post-retirement benefits |
| The company operates a defined contribution pension scheme. Contributions payable to the company's pension scheme are charged to profit or loss in the period to which they relate. |
| Going concern |
| The directors have concluded that it is not appropriate to prepare the financial statements on a going concern basis. A formal decision has been taken to place the company into voluntary liquidation during 2026 and the company has ceased, or is in the process of ceasing trading. |
| Accordingly, the financial statements have been prepared on a basis other than going concern. Assets are stated at their estimated realisable amounts and liabilities are stated at the amounts expected to be settled. All assets and liabilities have been classified as current. |
| At 31 December 2024, the company had net liabilities of £31,217. The directors have considered the manner in which those liabilities will be settled during the winding up. The parent undertaking has undertaken to provide such financial support as is necessary to enable the company to settle its liabilities and has confirmed that it will bear the costs associated with the liquidation. |
| The comparative figures for the period ended 31 December 2023 were prepared on a going concern basis and are therefore not fully comparable with the current year figures in the balance sheet and income statement. No adjustments have been made to restate the comparative amounts. |

| Intercompany receivables and payables are offset and presented net only where the company currently has a legally enforceable right of set-off and intends to settle the balances on a net basis or simultaneously. |

Accordingly, in line with FRS 102 paragraph 11.38A, the company has offset the recognised receivable and payable balances and presented the net amount in the statement of financial position. The gross receivable was £544,455, the gross payable was £554,475 and the net balance presented was £ 10,020. |

| Emphasis of matter |
| We draw attention to Note 2 to the financial statements which explains that the directors intend to liquidate the Company in 2026 and therefore do not consider it to be appropriate to adopt the going concern basis of accounting in preparing the financial statements. Accordingly, the financial statements have been prepared on a basis other than going concern as described in Note 2. Our opinion in not modified in respect of this matter. |
| 9. | RELATED PARTY DISCLOSURES |
| The company has taken advantage of exemption, under the terms of Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland', not to disclose related party transactions with wholly owned subsidiaries within the group. |
| During the year, the company paid £7,800 to Grass Advisory Ltd, a company controlled by Scott Thomas Brooks, a director of the company, in respect of business advisory services. This transaction is disclosed as a related party transaction under the small companies regime. |
| At 31 December 2024, the amount outstanding in respect of this transaction was £3,744. Any outstanding balance was unsecured, interest free and repayable on demand or settled under normal credit terms. |
| Except for the transaction disclosed above, the directors confirm that there were no other material related party transactions not concluded under normal market conditions requiring disclosure under Schedule 1 paragraph 66 of The Small Companies and Groups (Accounts and Directors’ Report) Regulations 2008. |

| 10. | POST BALANCE SHEET EVENTS |
| Since the balance sheet date, a formal decision has been taken to place the company into voluntary liquidation during 2026. Following that decision, the company has ceased trading. The directors consider this to be a non-adjusting event after the reporting period. At the date of approval of these financial statements, the financial effect of the liquidation and related wind-down process cannot be estimated reliably. The parent undertaking has confirmed that it will provide such financial support as is necessary to enable the company to settle its liabilities during the winding-up process and will bear the costs associated with the liquidation. |
