The principal activity of the Company is the ownership, management and preservation of the 4-acre Lower Churchfields Meadow water meadow in Twyford, Hampshire. The meadow was acquired in 2004 with the objective of preserving the land as an open water meadow and protecting it from future development. In recent years the meadow has been managed by Twyford Parish Council as part of the Parish Farm.
Over time the Company has lost contact with a number of shareholders who have moved away from the village or whose circumstances have changed. During the year the directors obtained legal advice and considered proposals to secure the long-term future of the meadow, including the possible conversion of the Company to a Community Interest Company (CIC) structure.
An Extraordinary General Meeting of shareholders was held on 4 June 2025 to consider the proposed conversion to a CIC. The resolution was not approved. There were differing views amongst directors regarding the most appropriate future structure and management arrangements for the Company and the meadow, following which a number of directors resigned.
A new Board of Directors has subsequently been appointed and is reviewing options to secure the long-term preservation of Churchfields Meadow, simplify the Company's governance arrangements and ensure that the land continues to be protected for the benefit of the local community.
