Notes to the Financial Statements
1. General Information
ETT-UK Ltd is a private company, limited by shares, incorporated in England & Wales, registered number 06563398 . The registered office is Us11 Armstrong House First Avenue, Hayfield Lane, Finningley, Doncaster, South Yorkshire, DN9 3GA.
2. Accounting Policies
2.1. Basis of Preparation of Financial Statements
The financial statements have been prepared under the historical cost convention and in accordance with Financial Reporting Standard 102 section 1A Small Entities "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Companies Act 2006.
The accounts are presented in £ Sterling.
2.2. Going Concern Disclosure
The directors are required to prepare the financial statements on a going concern basis unless it is inappropriate to presume that the company will continue in business. In doing so, the directors have considered the company’s ability to meet its liabilities as they fall due for a period of at least twelve months from the date of approval of these financial statements.
At the balance sheet date, the company was in a net liabilities position of £429,923. The company is reliant on financial support from its parent undertaking in order to meet its liabilities as they fall due.
The directors have received confirmation from the parent undertaking that it will provide financial support to the company for a period of at least twelve months from the date of approval of these financial statements. The directors have also considered the ability of the parent undertaking to provide this support and are satisfied that sufficient resources will be available.
On the basis of the above, the directors have a reasonable expectation that the company will be able to meet its liabilities as they fall due for the foreseeable future. Accordingly, the financial statements have been prepared on a going concern basis.
2.3. Turnover
Turnover is measured at the fair value of the consideration received or receivable, net of discounts and value added taxes. Turnover represents commission income earned by the company in the ordinary course of business. Commission income is recognised in the profit and loss account when the company has fulfilled its performance obligations under the terms of contract, the amount of income can be measured reliably and it is probable that the economic benefits associated with the transaction will flow to the company. 
2.4. Tangible Fixed Assets and Depreciation
Tangible fixed assets are measured at cost less accumulated depreciation and any accumulated impairment losses. Depreciation is provided at rates calculated to write off the cost of the fixed assets, less their estimated residual value, over their expected useful lives on the following bases:
Plant & Machinery 25% straight line
Fixtures & Fittings 25% straight line
Computer Equipment 25% straight line
Depreciation is charged on a consistent basis from year to year. All tangible fixed assets are reviewed for impairment when events or changes in circumstances indicate that the carrying amount may not be recoverable.
2.5. Financial Instruments
The company has applied the provisions of Section 11 of FRS 102 in respect of basic financial instruments.
Basic financial assets and liabilities, including amounts due from and due to group undertakings, are recognised at transaction price and subsequently measured at amortised cost.
Monetary assets and liabilities denominated in foreign currencies are translated into Sterling at the exchange rate prevailing at the balance sheet date. Exchange differences arising on translation are recognised in profit or loss.

2.6. Foreign Currencies
Monetary assets and liabilities in foreign currencies are translated into sterling at the rates of exchange ruling at the balance sheet date. Transactions in foreign currencies are translated into sterling at the rate ruling on the date of the transaction. Exchange differences are taken into account in arriving at the operating profit.
2.7. Taxation
Income tax expense represents the sum of the tax currently payable.
The tax currently payable is based on taxable profit for the year. Taxable profit differs from profit as reported in the statement of comprehensive income because of items of income or expense that are taxable or deductible in other years and items that are never taxable or deductible. The company's liability for current tax is calculated using tax rates that have been enacted or substantively enacted by the end of the reporting period. Current tax is recognised in profit or loss for the year.
2.8. Pensions
The company operates a defined pension contribution scheme. Contributions are charged to the profit and loss account as they become payable in accordance with the rules of the scheme.

9. Related Party Transactions
During the year there were sales of £80,176 (2024: £275,636) to ETT-Verpackungstechnik GmbH, the immediate parent company.
During the year there were sales of £139,103 (2024: £83,113) to ETT Service GmbH, a fellow group company.
During the year there was interest payable of £9,156 (2024: £8,686) to ETT- Verpackungstechnik GmbH, the parent company.
As at 31 December 2025, the company was owed £61,099 (2024: £1,987) from ETT Service GmbH.
As at 31 December 2025, the company owed £491,318 (2024: £294,333) to ETT Verpackungstechnik GmbH, the parent company, of which £316,948 (2024: £292,604) was a loan due after more than one year.
The above loans are unsecured and the group will not seek repayment of any part of the loan for at least a period of twelve months unless ETT-UK Limited has adequate resources to make payment. 
Interest is charged on the loan by the parent company at a rate of €10,500 per annum. The corresponding interest expense recognised in the financial statements is translated into sterling at the exchange rates prevailing at the dates of the transactions.
10. Ultimate Controlling Party
The company's immediate controlling party is ETT Verpackungstechnik GmbH by virtue of its ownership of 100% of the issued share capital of the company.
The company's ultimate controlling party is ETT Holdings GMBH whose address is Zeppelinallee 77 60487, Frankfurt am Main, Hessen, Germany.
The ultimate parent company prepares consolidated financial statements for the group. These consolidated financial statements are available from the registered office of ETT Holdings GMBH .
