For the year ending 30 April 2026 the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies.
The member has not required the company to obtain an audit in accordance with section 476 of the Companies Act 2006.
The director acknowledges his responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.
These accounts have been prepared and delivered in accordance with the provisions applicable to companies subject to the small companies regime.
The company has taken advantage of section 444(1) of the Companies Act 2006 and opted not to deliver to the registrar a copy of the company's Profit and Loss Account.

Notes to the Financial Statements
1. General Information
Rialto Labs Ltd is a private company, limited by shares, incorporated in England & Wales, registered number 14793984 . The registered office is Bowley Barn, Bowley Farm, Iping, Midhurst, GU29 0PW.
2. Accounting Policies
2.1. Basis of Preparation of Financial Statements
The financial statements have been prepared under the historical cost convention and in accordance with Financial Reporting Standard 102 section 1A Small Entities "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Companies Act 2006.
2.2. Turnover
Turnover is measured at the fair value of the consideration received or receivable for goods supplied and services rendered, net of discounts and Value Added Tax.
2.3. Research and Development
Research expenditure is written off in the year in which it is incurred.
Development expenditure incurred is capitalised as an intangible asset only when all of the following criteria are met:
• It is technically feasible to complete the intangible asset so that it will be available for use or sale;
• There is the intention to complete the intangible asset and use or sell it;
• There is the ability to use or sell the intangible asset;
• The use or sale of the intangible asset will generate probable future economic benefits;
• There are adequate technical, financial and other resources available to complete the development
and to use or sell the intangible asset; and
• The expenditure attributable to the intangible asset during its development can be measured reliably.
Expenditure that does not meet the above criteria is expensed as incurred.
Amortisation is provided at rates calculated to write off the cost of the intangible assets, less their estimated residual value, over their expected useful lives on the following bases:

2.4. Tangible Fixed Assets and Depreciation
Tangible fixed assets are measured at cost less accumulated depreciation and any accumulated impairment losses. Depreciation is provided at rates calculated to write off the cost of the fixed assets, less their estimated residual value, over their expected useful lives on the following bases:

2.5. Financial Instruments
A financial asset or a financial liability is recognised only when the entity becomes a party to the contractual provisions of the instrument. 
All of the financial instruments applying to the company are basic as defined in the Accounting Standard, and as such are initially recognised at the transaction price.  Debt instruments are subsequently measured at amortised cost.

2.6. Taxation
The taxation expense represents the aggregate amount of current and deferred tax recognised in the reporting period. Tax is recognised in the statement of comprehensive income, except to the extent that it relates to items recognised in other comprehensive income or directly in capital and reserves. In this
case, tax is recognised in other comprehensive income or directly in capital and reserves, respectively.
2.7. Pensions
The company operates a defined pension contribution scheme. Contributions are charged to the profit and loss account as they become payable in accordance with the rules of the scheme.

At 30 April 2025 120,862 ordinary shares were in issue, with a nominal value of 0.001p each. During the year ended 30 April 2026 Advanced Subscription Agreements converted leading to 1,197 ordinary shares issued and a further 610 ordinary shares were issued. At 30 April 2026 122,669 ordinary shares were in issue with a nominal value of 0.001p each.

Last year the company received a total of £166,428 under two separate agreements, both of which provide for conversion into ordinary shares either on certain future events or at a future date:
The Simple Agreement for Future Equity (SAFE) provides for conversion with a longstop date of 24 months and raised £126,428 between July and December 2024. There has been no additional equity raised by SAFE in the current year.
Advance Subscription Agreements (ASA) provide for conversion with a longstop date of 6 months and raised £40,000 between January and April 2025. An additional £5,000 was raised by ASA in June 2025. All £45,000 raised by ASA has converted to shares during the current year.
