The company is entitled to exemption from audit under Section 477 of the Companies Act 2006 for the year ended 30 November 2025.

The members have not required the company to obtain an audit of its financial statements for the year ended 30 November 2025 in accordance with Section 476 of the Companies Act 2006.

The directors acknowledge their responsibilities for:
(a)ensuring that the company keeps accounting records which comply with Sections 386 and 387 of the Companies Act 2006 and
(b)preparing financial statements which give a true and fair view of the state of affairs of the company as at the end of each financial year and of its profit or loss for each financial year in accordance with the requirements of Sections 394 and 395 and which otherwise comply with the requirements of the Companies Act 2006 relating to financial statements, so far as applicable to the company.

The financial statements have been prepared and delivered in accordance with the provisions applicable to companies subject to the small companies regime.

In accordance with Section 444 of the Companies Act 2006, the Statement of Income and Retained Earnings has not been delivered.

1. STATUTORY INFORMATION

Oxford Environmental Construction Limited is a private limited company (limited by shares), which is incorporated and domiciled in England and Wales. The address of the registered office is 2nd Floor, 55 Ludgate Hill, London, EC4M 7JW.

The company's principal activity is that of property development and trading.

2. ACCOUNTING POLICIES

Basis of preparing the financial statements
These financial statements have been prepared in accordance with Financial Reporting Standard 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland" including the provisions of Section 1A "Small Entities" and the Companies Act 2006. The financial statements have been prepared under the historical cost convention.

The following principal account policies have been applied:

Going Concern
The directors consider the going concern basis to be appropriate having paid due regard to the company's projected results during the twelve months from the date the financial statements are approved and anticipated cash flows, availability of bank facilities and mitigating actions that can be taken during the period. Furthermore, the main related party has confirmed that it will provide support for the foreseeable future.

Stocks
Stocks are valued at the lower of cost and net realisable value, after making due allowance for obsolete and slow moving items. Costs includes all direct costs and an appropriate proportion of fixed and variable overheads.

Taxation
Tax is recognised in the Statement of income and retained earnings.

The current income tax charge is calculated on the basis of tax rates and laws that have been enacted or substantively enacted by the reporting date in the countries where the company operates and generates income.

Debtors
Short term debtors are measured at transaction price, less any impairment.

Cash and cash equivalents
Cash is presented by cash in hand and deposits with financial institutions repayable without penalty or notice of not more than 24 hours.

Creditors
Short-term creditors are measured at the transaction price. Other financial liabilities, including loans due to companies controlled by directors, are measured initially at fair value, net of transaction costs, and are measured subsequently at amortised cost using the effective interest method.

9. OTHER COMMITMENTS

Milu Ventures Limited holds a fixed charge, floating charge and negative pledge over the freehold land held by the company, this charge was registered on 17 June 2015.

10. RELATED PARTY DISCLOSURES

At 30 November 2025, the company owed £2,920,799 (2024: £2,830,528) to a company under the control of the directors. The balance comprises several loans, including accrued interest of £785,800 (2024: £700,529) calculated at a non-compounding rate of 4%.

11. POST BALANCE SHEET EVENTS

Subsequent to the year end, the Company completed the sale of land held in stock. Completion occurred on 2 February 2026.
