Turnover
Turnover represents the sale of food and drinks within the restaurant operated by the company. Revenues are recognised at the point of sale.

The basis of valuation used is the actual cost paid to the supplier.
Taxation
Taxation for the year comprises current and deferred tax. Tax is recognised in the Statement of Income and Retained Earnings, except to the extent that it relates to items recognised in other comprehensive income or directly in equity.

| 2. | ACCOUNTING POLICIES - continued |
Deferred tax
Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the balance sheet date.
Timing differences arise from the inclusion of income and expenses in tax assessments in periods different from those in which they are recognised in financial statements. Deferred tax is measured using tax rates and laws that have been enacted or substantively enacted by the year end and that are expected to apply to the reversal of the timing difference.
Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits.
Hire purchase and leasing commitments
Assets obtained under hire purchase contracts or finance leases are capitalised in the balance sheet. Those held under hire purchase contracts are depreciated over their estimated useful lives. Those held under finance leases are depreciated over their estimated useful lives or the lease term, whichever is the shorter.
The interest element of these obligations is charged to profit or loss over the relevant period. The capital element of the future payments is treated as a liability.
Rentals paid under operating leases are charged to profit or loss on a straight line basis over the period of the lease.
Pension costs and other post-retirement benefits
The company operates a defined contribution pension scheme. Contributions payable to the company's pension scheme are charged to profit or loss in the period to which they relate.
Going concern
The company has made a loss in the year to the 31st December 2025 and has net current liabilities at that date. These losses have been funded by loans from its parent company and other shareholders who have no immediate rights to repayment under the shareholders and subscribers agreement.
The company has entered into an Operation Agreement with the Director who has responsibility for the day to day running of the business and since the Agreement has been in place, the company is reporting positive EBITDA results to the date of approval.
With the Agreement working well and an Undertaking also available, the accounts have been drawn up on a Going Concern basis as instructed by the shareholders.
Operation agreement
The company entered into an Operation Agreement with the director. This agreement came into place in September 2025 and as a result, the day to day operations and the risks associated with the business have been transferred to the director.
In return, the director is required to pay a monthly contribution to the company and this has been accounted for in the financial statements based on the amount due at the year end. Any surplus is then due to the director so the company has a fixed contribution position
The company still acts as principal in this Agreement accounting for all the business activities.
Right of use of assets
The company has chosen to adopt the practice set out in IFRS 16 within these accounts so as to recognise the use of the property lease together with the corresponding lease commitments for these rental payments in the future. The values included in the accounts are based on net present value calculations which are then adjusted by discount factors set by the directors.
