Directors' responsibilities:
  1. The members have not required the company to obtain an audit of its accounts for the year in question in accordance with section 476.
  2. The directors acknowledge their responsibilities for complying with the requirements of the Companies Act 2006 with respect to accounting records and the preparation of accounts.
These financial statements have been prepared and delivered in accordance with the provisions applicable to companies subject to the small companies regime. In accordance with Section 444 of the Companies Act 2006, the income statement has not been delivered to the Registrar of Companies.

Accounting policies

Significant accounting policies
The accounts have been prepared under the historical cost convention and in accordance with FRS 102, the Financial Reporting Standard applicable in the UK and Republic of Ireland (as applied to small entities by Section 1A of the standard)
Consolidation
In the opinion of the directors, the company and its subsidiary undertakings comprise a small group. The company has therefore taken advantage of the exemption provided by Section 398 of the Companies Act 2006 not to prepare group accounts.

Turnover
Turnover is measured at the fair value of the consideration received or receivable, net of discounts and value added taxes. Turnover includes revenue earned from the sale of goods and from the rendering of services. Turnover is reduced for estimated customer returns, rebates and other similar allowances.

Sale of goods
Turnover from the sale of goods is recognised when the significant risks and rewards of ownership of the goods has transferred to the buyer. This is usually at the point that the customer has signed for the delivery of the goods.

Rendering of services
Turnover from the rendering of services is recognised by reference to the stage of completion of the contract. The stage of completion of a contract is measured by comparing the costs incurred for work performed to date to the total estimated contract costs. Turnover is only recognised to the extent of recoverable expenses when the outcome of a contract cannot be estimated reliably.

Foreign currencies
Monetary assets and liabilities denominated in foreign currencies are translated into sterling at the rate of exchange ruling at the statement of financial position date. Transactions in foreign currencies are recorded at the rate ruling at the date of the transaction. All foreign exchange differences are included to the income statement.
Intangible assets
Intangible assets (including purchased goodwill and patents) are amortised at rates calculated to write off the assets on a straight line basis over their estimated useful economic lives. Impairment of intangible assets is only reviewed where circumstances indicate that the carrying value of an asset may not be fully recoverable.
Goodwill
Goodwill is the difference between amounts paid on the acquisition of a business and the fair value of the separable net assets. It is amortised to income statement over its estimated economic life of one year.

Intellectual Property
Intellectual property assets are copyrights and patents. It is amortised to the income statement over its estimated economic life of one year.

Tangible fixed assets
Tangible fixed assets, other than freehold land, are stated at cost or valuation less depreciation and any provision for impairment. Depreciation is provided at rates calculated to write off the cost or valuation of fixed assets, less their estimated residual value, over their expected useful lives on the following basis:

Investments in subsidiary and associated undertakings are held at cost less any provision for impairment.
Grace & Co. Ltd
The company purchased, at par, 50% of the 100 subscriber £1 ordinary voting share capital of Grace & Co. Ltd, which was incorporated on 28 September 2021.
On 27 September 2022, it purchased an additional 1 ordinary £1 share for the sum of £165.
On 28 September 2022, it purchased an Ordinary B £1 share at par. This share is dividend bearing only with no voting rights.


inBeta Ltd
On 24 July 2025 the company subscribed for 18,248 Ordinary C shares of £0.01 each in inBeta Ltd at £2.74 per share, for a total cash consideration of £50,000.
The company is able to exercise significant influence over inBeta Ltd through its board representation and its consent rights over certain of that company's affairs. inBeta Ltd is accordingly an associated undertaking.  The investment is stated at cost less any provision for impairment.
Financial instruments
A financial asset or a financial liability is recognised only when the company becomes a party to the contractual provisions of the instrument.
Basic financial instruments are initially recognised at the transaction price, unless the arrangement constitutes a financing transaction, where it is recognised at the present value of the future payments discounted at a market rate of interest for a similar debt instrument.
Debt instruments are subsequently measured at amortised cost.

Related Party Transactions

Grace & Co. Ltd

The company owns 51% of the voting share capital in Grace & Co. Ltd.
At 1 October 2024, Grace & Co. Ltd owed the company £71,000. During the year Grace & Co. Ltd repaid this balance in full. Grace & Co. Ltd subsequently advanced a loan of £30,000 to the company, and a dividend of £16,037 receivable from Grace & Co. Ltd was offset against this amount. At 30 September 2025 the company owed £13,963 to Grace & Co. Ltd (2024: £71,000 owed to the company by Grace & Co. Ltd).
During the year the company purchased goods from Grace & Co. Ltd of £ 788,794 (2024: £64,320) and sold goods to Grace & Co. Ltd of £12,844 (2024: £16,668).





12.

Post Balance Sheet Events

On 18 May 2026, the Company filed at Companies House a special resolution passed on 30 January 2024 and the related solvency statement in connection with a proposed reduction of its share premium account by £256,626 to £nil.

The reduction is conditional upon registration of the statement of capital at Companies House and has not taken effect at the date of approval of these financial statements.

Ultimate Controlling Party

The company's controlling party is Alexander Meisl by virtue of his ownership of 38.12% of the issued share capital in the company.
