1. STATUTORY INFORMATION

FlibTravel International UK Limited is a private company, limited by shares , registered in England and Wales. The company's registered number and registered office address can be found on the Company Information page.

2. ACCOUNTING POLICIES

Basis of preparing the financial statements
These financial statements have been prepared in accordance with Financial Reporting Standard 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland" including the provisions of Section 1A "Small Entities" and the Companies Act 2006. The financial statements have been prepared under the historical cost convention.

The company's principal place of business is London Stansted Airport Coach Station, Terminal Rd N, Stansted, CM22 6PL.

The presentational currency of the financial statements is Pound Sterling (£).

The financial statements have been prepared on the going concern basis, despite the net liabilities of £1,703,669 shown on the balance sheet. The company relies on financial support from group companies through inter-company loans. At the balance sheet date the company was indebted to its group companies by £1,427,745. The directors have obtained a letter of support from its parent company confirming that the balance will not be called for repayment until sufficient working capital exists and furthermore further financial support will be given to the company to meet its liabilities as they fall due for at least the next 12 months from the approval of these accounts.

Related party exemption
The company has taken advantage of exemption, under the terms of Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland', not to disclose related party transactions with wholly owned subsidiaries within the group.

Turnover
Turnover is measured at the fair value of the consideration received or receivable, excluding discounts, rebates, value added tax and other sales taxes.

Turnover is recognised on the date of departure at the fair value of the consideration received or receivable, excluding discounts, rebates, value added tax and other sales taxes.

Monies received from customers in relation to departure dates recognised in a subsequent period are recorded in the balance sheet as deferred income.

Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life.

Financial instruments
The company has elected to apply the provisions of Section 11 'Basic Financial Instruments' of FRS 102 to all of its financial instruments.

Financial instruments are recognised in the company's statement of financial position when the company becomes party to the contractual provisions of the instrument.

Basic financial assets
Basic financial assets, which include debtors, are initially measured at transaction price including transaction costs and are subsequently carried at amortised cost using the effective interest method unless the arrangement constitutes a financing transaction, where the transaction is measured at the present value of the future receipts discounted at a market rate of interest. Financial assets classified as receivable within one year are not amortised.

Basic financial liabilities
Basic financial liabilities, including creditors and loans that are classified as debt, are initially recognised at transaction price unless the arrangement constitutes a financing transaction, where the debt instrument is measured at the present value of the future payments discounted at a market rate of interest. Financial liabilities classified as payable within one year are not amortised.

Trade creditors are obligations to pay for goods or services that have been acquired in the ordinary course of business from suppliers. Amounts payable are classified as current liabilities if payment is due within one year or less. If not, they are presented as non-current liabilities. Trade creditors are recognised initially at transaction price and subsequently measured at amortised cost using the effective interest method.

Taxation
Taxation for the period comprises current and deferred tax. Tax is recognised in the Income Statement, except to the extent that it relates to items recognised in other comprehensive income or directly in equity.

Current or deferred taxation assets and liabilities are not discounted.

Current tax is recognised at the amount of tax payable using the tax rates and laws that have been enacted or substantively enacted by the statement of financial position date.

Deferred tax
Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the statement of financial position date.

Timing differences arise from the inclusion of income and expenses in tax assessments in periods different from those in which they are recognised in financial statements. Deferred tax is measured using tax rates and laws that have been enacted or substantively enacted by the period end and that are expected to apply to the reversal of the timing difference.

Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits.

Foreign currencies
Assets and liabilities in foreign currencies are translated into sterling at the rates of exchange ruling at the statement of financial position date. Transactions in foreign currencies are translated into sterling at the rate of exchange ruling at the date of transaction. Exchange differences are taken into account in arriving at the operating result.

Hire purchase and leasing commitments
Rentals paid under operating leases are charged to profit or loss on a straight line basis over the period of the lease.

Pension costs and other post-retirement benefits
The company operates a defined contribution pension scheme. Contributions payable to the company's pension scheme are charged to profit or loss in the period to which they relate.

Employee benefits
Short term employee benefits and contributions to defined contribution plans are recognised as an expense in the period in which they are incurred.

The amounts owed to group undertakings relate to short-term loan balances with group companies that are repayable on demand. Interest is charged on these balances at a rate of EURIBOR plus 1.15%, expressed as an annual rate on a basis of 360 days.

The company is under a concession agreement with Stansted airport until 31 March 2030 to provide coach transport into London. The company is committed to a fee based on gross turnover and number of services arriving and or departing the airport unless this does not exceed the guaranteed minimum sum.

The company is under a sub-contract agreement with the operator of the coach services into London until 31 March 2030. The company is committed to a fee based on a fixed rate per mile plus an additional profit margin.

11. ULTIMATE CONTROLLING PARTY

During the period ended 31 December 2025 the ultimate parent company was SLG SA, a company incorporated in Luxembourg. During this time the ultimate controlling parties were Jose Sales and Marc Sales who are also directors of the company.

After the year end, the ultimate controlling parent company became Flix SE, based in Germany. Flix SE is also considered the ultimate controlling party.

The immediate parent company is Flibtravel International S.A. (incorporated in Luxembourg). Copies of the group accounts can be obtained from 4 Rue Laangwiss, L-4940 Bascharage, Luxembourg.
