In order to assist you to fulfil your duties under the Companies Act 2006, we have prepared for your approval the financial statements of Danfriston Ltd for the year ended 31 October 2025 which comprise the Balance Sheet, the Income Statement and the related notes from the Company's accounting records and from information and explanations you have given us.

As a practising member firm of the Institute of Chartered Accountants in England and Wales, we are subject to its ethical and other professional requirements which are detailed at https://www.icaew.com/regulation.

It is your duty to ensure that Danfriston Ltd has kept adequate accounting records and to prepare statutory accounts that give a true and fair view of the assets, liabilities, financial position and loss of Danfriston Ltd. You consider that Danfriston Ltd is exempt from the statutory audit requirement for the year.

We have not been instructed to carry out an audit or review of the financial statements of Danfriston Ltd. For this reason, we have not verified the accuracy or completeness of the accounting records or information and explanations you have given to us and we do not, therefore, express any opinion on the statutory financial statements.

Use of our Report

This report is made solely to the Director of Danfriston Ltd in accordance with the terms of our engagement letter. Our work has been undertaken so that we might compile the financial statements that we have been engaged to compile, report to the Company's Director that we have done so and state those matters that we have agreed to state to them in this report in accordance with ICAEW Technical Release TECH07/16AAF. To the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than Danfriston Ltd and its Director, for our work or for this report.

Danfriston Limited is a private company, limited by shares, registered in England and Wales. The company's registered number is 13321291 and its registered address is Oatscroft, Heyshott, Midhurst, West Sussex, GU29 0DZ. 

Average number of employees

The average monthly number of employees, including the Director, during the year was 1 (2024 - 1).

Director's benefits: advances, credits and guarantees

Included within the year end creditors balance is an amount due from the company to Mr J A Samuels of £925,182 (2024: £925,182). Throughout the year, total withdrawal of funds amounted to £Nil, with total deposits of £Nil (2024: £925,182). The outstanding balance is unsecured, repayable on demand and not subject to interest. 

Going Concern

The financial statements have been prepared on a going concern basis, which assumes that the Company will continue in operational existence for the foreseeable future. The Directors have considered the Company’s financial position, projected cash flows, and available funding sources in assessing its ability to continue as a going concern.
