Notes to the Financial Statements
1. General Information
Avico UK Ltd is a private company, limited by shares, incorporated in England & Wales, registered number 16015261 . The registered office is Southpoint Old Brighton Road, Lowfield Heath, Crawley, West Sussex, RH11 0PR.
2. Accounting Policies
2.1. Basis of Preparation of Financial Statements
The financial statements have been prepared under the historical cost convention and in accordance with Financial Reporting Standard 102 section 1A Small Entities "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Companies Act 2006.
2.2. Going Concern Disclosure
These financial statements show a net liability position of £466,401 at the reporting date.
The company is in the early stages of establishing itself in the UK market and as such is expected to be loss making for the foreseeable future.
The company has reviewed its funding requirements and with the continued support of its parent company, the company will be able to meet its liabilities and obligations as they fall due.
The parent company has committed to providing ongoing support and as such, the loans due from the parent company are shown as a long-term creditor.
Based on the above assurances, these financial statements are prepared on the going concern basis.
The directors have a reasonable expectation that the company will continue in operational existence for the foreseeable future.
2.3. Turnover
Turnover is measured at the fair value of the consideration received or receivable, net of discounts and value added taxes. Turnover includes revenue earned from the sale of goods and from the rendering of services. Turnover is reduced for estimated customer returns, rebates and other similar allowances.
Rendering of services
The company acts as principal in providing aircraft chartering and leasing services. Revenue is recognised at the gross value charged to customers when the company has substantially fulfilled its obligations under the charter or lease arrangement.
Revenue from flights or leasing arrangements that span reporting periods is recognised by reference to the stage of completion, where this can be reliably measured.
Direct payments to aircraft owners/operators and other service providers are recognised as cost of sales.
2.4. Tangible Fixed Assets and Depreciation
Tangible fixed assets are measured at cost less accumulated depreciation and any accumulated impairment losses. Depreciation is provided at rates calculated to write off the cost of the fixed assets, less their estimated residual value, over their expected useful lives on the following bases:

2.5. Cash and Cash Equivalents
Cash and cash equivalents are basic financial assets and include cash in hand, deposits held at call with banks, other short-term liquid investments with original maturities of three months or less, and bank overdrafts. Bank overdrafts are shown within borrowings in current liabilities.
2.6. Foreign Currencies
Monetary assets and liabilities in foreign currencies are translated into sterling at the rates of exchange ruling at the balance sheet date. Transactions in foreign currencies are translated into sterling at the rate ruling on the date of the transaction. Exchange differences are taken into account in arriving at the operating profit.

On incorporation the company issued 780 ordinary shares at their par value of £10 each. As at 31st December 2025, £3,300 of the share capital remains unpaid.

Key management personnel
As the directors and key management personnel are deemed to be the same individuals, the company has taken advantage of the exemptions in FRS102 Section 33.7A and this information is presented in note 4 of the financial statements.

Entities with control over the company

Amounts due to related parties are owed to a company which has control over the company.  The balance bears interest at Euribor 3 months plus 2%, is unsecured, and is repayable more than one year from the balance sheet date.
10. Controlling Parties
At the balance sheet date, the parent undertaking by virtue of its majority shareholding in the company is Aviation Et Cooperation SARL, 33 Avenue de Wagram, 75017, Paris, France. 
Aviation Et Cooperation SARL is the parent undertaking of the largest group of undertakings to consolidate these financial statements at 31 December 2025.
The directors are of the opinion that there is no one overall controlling individual of the company.
11. Events after the reporting period
On 16 January 2026, the company issued 319 ordinary shares of £10 par value each, increasing the total number of issued shares from 780 to 1,099.  The shares were issued at par, resulting in an increase in called-up share capital of £3,190.  All shares issued carry the same rights and privileges as the existing ordinary shares in issue.  As a consequence of this share issue, no individual shareholder now holds more than 50% of the company’s issued share capital and therefore no shareholder retains a majority ownership interest.
This event occurred after the balance sheet date and does not provide evidence of conditions that existed at that date.  It has therefore, been disclosed as a non-adjusting event.
