General information
All Saints Developments (Great Ellingham) Limited is a private company limited by shares incorporated in England and Wales. The registered office is Dixcart House, Addlestone Road, Bourne Business Park, Addlestone, Surrey, KT15 2LE.

Accounting policies
2.1
Accounting convention
These financial statements have been prepared in accordance with FRS 102 “The Financial Reporting Standard applicable in the UK and Republic of Ireland” (“FRS 102”) and the requirements of the Companies Act 2006 as applicable to companies subject to the small companies regime. The disclosure requirements of section 1A of FRS 102 have been applied other than where additional disclosure is required to show a true and fair view.
The financial statements are prepared in sterling, which is the functional currency of the company. Monetary amounts in these financial statements are rounded to the nearest £.
The financial statements have been prepared under the historical cost convention. The principal accounting policies adopted are set out below.
2.2
Going concern
The dirtrueector has considered the company’s position at the time of signing the financial statements, and in particular to current global issues and their potential impact on the company and the wider economy.
Phase 1 of the development was completed in prior years and all 20 units have been transferred to their respective purchasers. Phase 2a was completed during 2025 and at year end only 4 of the 23 units remained with 2 having been sold and completed during March 2026. The value of the 2 remaining units, of which one is reserved, is £925,000 and the associated debt with Investec is £600,000.
A new development loan was entered into with Investec Bank PLC during the year to finance the construction of 5 new homes with a total facility of £2,000,000 which will be drawn down in monthly instalments. The 5 new homes will be completed in August 2026. Interest in the units has been robust and the sales value of £3,485,000 will settle the Investec facility and provide surplus cash in the amount of circa £1,500,000.
With regards to the existing loan from its parent undertaking AmdecUK Limited, the company has received assurances that the parent company will not seek repayment of the loan amounts advanced to date and will continue to advance the necessary funds to enable the company to meet its current and ongoing administrative liabilities as they fall due.
Based on this the director has concluded that he has a reasonable expectation that the company will have adequate resources to continue in operational existence for the foreseeable future, and therefore adopt the going concern basis of accounting in preparing these financial statements.
2.3
Turnover
Turnover is recognised at the fair value of the consideration received or receivable for the sale of residential property in the normal course of business, and is shown net of VAT and other sales related taxes.
Revenue from the sale of residential property is recognised when the significant risks and rewards of ownership of the properties have passed to the buyer, the amount of revenue can be measured reliably, it is probable that the economic benefits associated with the transaction will flow to the entity and the costs incurred or to be incurred in respect of the transaction can be measured reliably.

Intangible fixed assets other than goodwill
Intangible assets acquired separately from a business are recognised at cost and are subsequently measured at cost less accumulated amortisation and accumulated impairment losses.
Amortisation is recognised so as to write off the cost or valuation of assets less their residual values over their useful lives on the following bases:

Tangible fixed assets are initially measured at cost and subsequently measured at cost or valuation, net of depreciation and any impairment losses.

The gain or loss arising on the disposal of an asset is determined as the difference between the sale proceeds and the carrying value of the asset, and is credited or charged to profit or loss.
2.6
Stocks
Stocks comprise finished residential properties ready for sale and residential properties which are being developed by the company for sale in the ordinary course of business. Stocks are stated at the lower of cost and estimated selling price less costs to complete and sell. Cost comprises direct materials and, where applicable, direct labour costs and those overheads that have been incurred in bringing the properties to their present location and condition.
At each reporting date, an assessment is made for impairment. Any excess of the carrying amount of stocks over its estimated selling price less costs to complete and sell is recognised as an impairment loss in profit or loss. Reversals of impairment losses are also recognised in profit or loss.
2.7
Cash and cash equivalents
Cash and cash equivalents are basic financial assets and include cash in hand.
2.8
Financial instruments
The company has elected to apply the provisions of Section 11 'Basic Financial Instruments' and Section 12 'Other Financial Instruments Issues' of FRS 102 to all of its financial instruments.
Financial instruments are classified and accounted for, according to the substance of the contractual arrangement, as either financial assets, financial liabilities or equity instruments. An equity instrument is any contract that evidences a residual interest in the assets of the company after deducting all of its liabilities.
Basic financial assets
Basic financial assets, which include debtors, cash and bank balances, are initially measured at transaction price including transaction costs and are subsequently carried at amortised cost using the effective interest method. Financial assets classified as receivable within one year are not amortised.

Basic financial liabilities
Basic financial liabilities, including creditors, bank loans and loans from fellow group companies are initially recognised at transaction price unless the arrangement constitutes a financing transaction. Financial liabilities classified as payable within one year are not amortised.
Trade creditors are obligations to pay for goods or services that have been acquired in the ordinary course of business from suppliers. Amounts payable are classified as current liabilities if payment is due within one year or less. If not, they are presented as non-current liabilities.
2.9
Taxation
The tax expense represents the sum of the tax currently payable and deferred tax.
Current tax
The tax currently payable is based on taxable profit for the year. Taxable profit differs from net profit as reported in the income statement because it excludes items of income or expense that are taxable or deductible in other years and it further excludes items that are never taxable or deductible. The company’s liability for current tax is calculated using tax rates that have been enacted or substantively enacted by the reporting end date.
Deferred tax
Deferred tax liabilities are generally recognised for all timing differences and deferred tax assets are recognised to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits. Such assets and liabilities are not recognised if the timing difference arises from goodwill or from the initial recognition of other assets and liabilities in a transaction that affects neither the tax profit nor the accounting profit.
2.10
Leases
Rentals payable under operating leases, including any lease incentives received, are charged to profit or loss on a straight line basis over the term of the relevant lease except where another more systematic basis is more representative of the time pattern in which economic benefits from the leases asset are consumed.

Employees
The company employed no persons during the current and preceding years.

Judgements and key sources of estimation uncertainty
In the application of the company’s accounting policies, the director is required to make judgements, estimates and assumptions about the carrying amount of assets and liabilities that are not readily apparent from other sources. The estimates and associated assumptions are based on historical experience and other factors that are considered to be relevant. Actual results may differ from these estimates.
The estimates and underlying assumptions are reviewed on an ongoing basis. Revisions to accounting estimates are recognised in the period in which the estimate is revised where the revision affects only that period, or in the period of the revision and future periods where the revision affects both current and future periods.

Events after the reporting date
During March 2026, the company sold 2 plots for a total sales price of £742,500, thereby reducing the existing borrowing facility at year-end by £500,000.
The company also increased its borrowing facility by £2 million during March 2026, to provide funding for the development of 5 new homes at Bowsfield.

The parent company is AmdecUK Limited, incorporated in the UK. Amdec Investments (Pty) Ltd is the parent of the smallest group for which consolidated accounts including All Saints Developments (Great Ellingham) Limited are drawn up, and copies of these accounts can be obtained from its registered office at Amdec House, Silverwood Close, Steenberg Office Park, Tokai, 7945, South Africa.
