For the year ending 30 June 2025 the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies. The members have not required the company to obtain an audit in accordance with section 476 of the Companies Act 2006.
The directors acknowledge their responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.
These accounts have been prepared and delivered in accordance with the provisions applicable to companies subject to the small companies' regime and in accordance with the provisions of FRS 102 Section 1A - Small Entities. The profit and loss account has not been delivered to the Registrar of Companies.

Compliance with accounting standards
Basis of Preparation
The financial statements have been prepared in accordance with the provisions applicable to companies subject to the small companies regime under Part 15 of the Companies Act 2006 and in compliance with Financial Reporting Standard 102, The Financial Reporting Standard applicable in the UK and Republic of Ireland, including the requirements of Section 1A Small Entities.
Shift Global Holdings Limited is the parent company of a group of logistics and technology businesses.
On 25 February 2026, subsequent to the reporting date, Bespoke Moving Solutions Limited, a wholly owned subsidiary undertaking of the Company, entered into creditors' voluntary liquidation.
Following the liquidation of Bespoke Moving Solutions Limited, the remaining group falls within the statutory thresholds for a small group. The Company is therefore exempt from the requirement to prepare consolidated financial statements under Section 399 of the Companies Act 2006 and has elected to prepare these financial statements on a standalone company basis.
Going Concern
The directors have assessed the appropriateness of preparing the financial statements on a going concern basis and have reviewed the Company's projected cash flows, forecast performance, intercompany loan recoverability and available funding arrangements.
The Company operates principally as a holding and financing entity, raising equity and debt finance and providing funding to subsidiary undertakings. During the financial year all debt obligations were serviced in accordance with their terms. Subsequent to the reporting date, certain debt facilities became overdue and the Company commenced a financial restructuring process to address these obligations.
The proposed restructuring includes the introduction of additional funding together with the extension and refinancing of certain existing debt facilities. The directors anticipate that this process will be concluded within three months of the approval of these financial statements.
Having considered the expected outcome of the restructuring, the underlying performance and prospects of the continuing group businesses, and the progress of discussions with lenders and stakeholders, the directors have a reasonable expectation that the Company will have adequate resources to continue in operational existence and meet its liabilities as they fall due for a period of at least twelve months from the date of approval of these financial statements.
Accordingly, the directors consider it appropriate to prepare the financial statements on the going concern basis.
The principal accounting policies adopted in the preparation of the financial statements are set out below and have remained unchanged from the previous year, and also have been consistently applied within the same accounts.
The accounts have been prepared under the historical cost convention as modified by the revaluation of certain fixed assets.
The accounts are presented in £ sterling.

The intangible assets represent intellectual property developed by and acquired by the Group. The directors have reviewed the carrying value of these assets and consider them to be stated at no more than their recoverable amount at the balance sheet date.
During the period, the company completed the sale of certain intellectual property rights to a third party for a total consideration of £3,333,333.Prior to the sale, the intellectual property had a net book value of £3,768,043. The disposal has resulted in a loss on sale of £434,710, which has been recognized within the Profit and Loss account for the period.

Transactions with related parties
During the period, two of the company’s wholly-owned subsidiaries, SG Platform Limited and JLF Moving Solutions Limited,
ceased trading. Following an assessment of the recoverability of the balances owed by these entities, the directors have
determined that the debts are unlikely to be recovered in full.
Accordingly, an impairment charge of £2,019,000 has been recognized in the Profit and Loss account to write down these
intercompany balances to their estimated recoverable amount of £Nil.

Post balance sheet events
**Events after the reporting period**
On 25 February 2026, subsequent to the balance sheet date, Bespoke Moving Solutions Limited, a wholly-owned subsidiary of the company, entered into voluntary liquidation.
The circumstances giving rise to the liquidation arose after the reporting date and were not indicative of conditions existing at 30 June 2025. Accordingly, the liquidation has been treated as a non-adjusting event after the reporting period.
No adjustments have therefore been made to the carrying values of the company’s assets at 30 June 2025. However, the directors estimate that intercompany balances receivable from Bespoke Moving Solutions Limited amounting to £92,208 may not be recoverable as a result of the liquidation.
No value attributable to Bespoke Moving Solutions Limited was included within the carrying value of the company’s intangible fixed assets. As a result, the directors do not consider that the liquidation gives rise to any impairment of intangible fixed assets.
