General information

Disposal Company (Richborough) Limited is a private company limited by shares, incorporated in England and Wales, United Kingdom. The company registration number is 00491261 and the address of the registered office is Environment House, 1 St. Marks Street, Nottingham, NG3 1DE.

2.Accounting policies

 
2.1

Basis of preparation of financial statements

The financial statements have been prepared under the historical cost convention unless otherwise specified within these accounting policies and in accordance with Section 1A of Financial Reporting Standard 102, the Financial Reporting Standard applicable in the UK and the Republic of Ireland and the Companies Act 2006.

The financial statements are present in Sterling which is the function currency of the Company and are rounded to the nearest £1.

The following principal accounting policies have been applied:

 
2.2

Financial Reporting Standard 102 - reduced disclosure exemptions

The Company has taken advantage of the following disclosure exemptions in preparing these financial statements, as permitted by the FRS 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland":
the requirements of Section 7 Statement of Cash Flows;
the requirements of Section 3 Financial Statement Presentation paragraph 3.17(d);
the requirements of Section 33 Related Party Disclosures paragraph 33.7.

This information is included in the consolidated financial statements of Blugilt Holdings Limited as at year ended 31 December 2025 and these financial statements may be obtained from Companies House.

 
2.3

Going concern

It is the directors intention for the Company to be liquidated at an indeterminate date in the near future. Therefore these financial statements have been prepared on a basis other than that of the going concern basis.

This basis includes, where applicable, writing the Company's assets down to net realisable value. Provisions have also been made in respect of contracts which have become onerous at the reporting date. No provision has been made for the future costs of terminating the business such as costs of winding down the business (e.g. liquidation fees) unless such costs were committed at the reporting date such as the costs of redundancies as a constructive obligation was created at the reporting date.

 
2.4

Revenue

Revenue is recognised to the extent that it is probable that the economic benefits will flow to the Company and the revenue can be reliably measured. Revenue is measured as the fair value of the consideration received or receivable, excluding discounts, rebates, value added tax and other sales taxes.

Revenue from the treatment and disposal of domestic sewerage is recognised in the period in which the service is provided.

Interest income

Interest income is recognised in profit or loss using the effective interest method.

 
2.6

Taxation

Tax is recognised in profit or loss except that a charge attributable to an item of income and expense recognised as other comprehensive income or to an item recognised directly in equity is also recognised in other comprehensive income or directly in equity respectively.

The current income tax charge is calculated on the basis of tax rates and laws that have been enacted or substantively enacted by the balance sheet date in the countries where the Company operates and generates income.

 
2.7

Tangible fixed assets

Tangible fixed assets under the cost model are stated at historical cost less accumulated depreciation and any accumulated impairment losses. Historical cost includes expenditure that is directly attributable to bringing the asset to the location and condition necessary for it to be capable of operating in the manner intended by management.

Depreciation is charged so as to allocate the cost of assets less their residual value over their estimated useful lives, using the straight-line method.

Depreciation is provided on the following basis:

Not depreciated. In the opinion of the director, the residual value of the freehold property is at least equal to cost.

The assets' residual values, useful lives and depreciation methods are reviewed, and adjusted prospectively if appropriate, or if there is an indication of a significant change since the last reporting date.

Gains and losses on disposals are determined by comparing the proceeds with the carrying amount and are recognised in profit or loss.

 
2.8

Debtors

Short-term debtors are measured at transaction price, less any impairment. Loans receivable are measured initially at fair value, net of transaction costs, and are measured subsequently at amortised cost using the effective interest method, less any impairment.

 
2.9

Creditors

Short-term creditors are measured at the transaction price. Other financial liabilities, including bank loans, are measured initially at fair value, net of transaction costs, and are measured subsequently at amortised cost using the effective interest method.

Related party transactions

The Company has taken advantage of the exemptions available under FRS 102 Section 33.1a Related Party Disclosures from disclosing transactions with other wholly owned members of the group.

At the balance sheet date amounts £nil (2024: £141,888) was owed to a company under common control, During the year the Company sold freehold property to this related party for proceeds of £200,000.

At the balance sheet amount of £3,386 (2024: £nil) were due from companies under common control in respect of group tax relief. 

Amounts due to related parties are unsecured, interest free and are repayable on demand.

Controlling party

The parent undertaking is Blugilt Holdings Limited. The ultimate parent company of Blugilt Holdings Limited is Clary Limited, a company incorporated in the Isle of Man.

The ultimate controlling party is Mr N Puri.

Auditors' information

The auditors' report on the financial statements for the year ended 31 December 2025 was unqualified.

In their report, the auditors emphasised the following matter without qualifying their report:

We draw attention to Note 2.3 of the financial statements, which explains that it is the director's intention to liquidate the business and therefore it is not considered to be appropriate to adopt the going concern  basis of accounting in preparing the financial statements. Accordingly, the financial statements have been prepared on a basis other than going concern. Our opinion is not modified in respect of this matter.
