1 General information

3 The company is limited by guarantee and does not have a share capital. In accordance with the Memorandum and Articles of Association, every member of the company undertakes to contribute to the assets of the company, in the event of it being wound up while they are a member or within one year after they cease to be a member, such amount as may be required, being £1.

4 The company is a members’ club operating on a mutual trading basis. Surpluses or deficits arising from transactions with members and their guests are not liable to Corporation Tax. Any income arising from non-member transactions would be subject to Corporation Tax.

The total profit arising from non-mutual transactions is £1,099 which is subject to Corporation Tax

5 The surplus for the year has been added to the accumulated fund. The committee has a reasonable expectation that the company has adequate resources to continue in operational existence for the foreseeable future. Accordingly, it continues to adopt the going concern basis in preparing the financial statements, supported by ongoing member subscriptions and trading activity.

The surplus, after deducting the non-mutual profit, to be added to the accumulated fund is £41,185. This is not subject to Corporation Tax.

6 During the year, the company received a legacy of £30,000 from the estate of the late Mr Mike Savage, former Treasurer of the company. In addition, loans previously advanced to the company by Mr Savage, totalling £25,800, were formally waived during the year following confirmation from his estate and approval by the Board of Directors. Both amounts have been recognised as donation income in the year.

7 Mr Mike Savage, former Treasurer of the company, had previously advanced loans to the company. During the year, a legacy was received from his estate and the outstanding loan balances were waived. No amounts were outstanding at the year end.

8 Included within creditors in the prior year were loans advanced by the late Mr Mike Savage. These balances were written off in full during the year following confirmation from his estate, and no amounts remained outstanding at the year end.

For the year ending

, the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies.
Directors' responsibilities:
  • The members have not required the company to obtain an audit of its financial statements for the year in question in accordance with section 476;
  • The directors acknowledge their responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of financial statements.
These financial statements have been prepared in accordance with the micro-entity provisions and have been delivered in accordance with the provisions applicable to companies subject to the small companies regime.
