| 2. | ACCOUNTING POLICIES |
Basis of preparing the financial statements
Summary of significant accounting policies
The principal accounting policies applied in the preparation of these financial statements are set out below. These policies have been consistently applied to all years presented, unless otherwise stated.
The financial statements are presented in Sterling (£) and rounded to the nearest £1.

| - | a priority profit share from the LP |
| - | an annual general partner profit share, subject to indexation each December |
Financial instruments
The LLP has adopted Sections 11 and 12 of FRS 102 in respect of financial instruments.
(i) Financial assets
Basic financial assets, including trade and other debtors and cash and bank balances are initially recognised at transaction price, unless the arrangement constitutes a financing transaction, where the transaction is measured at the present value of the future receipts discounted at a market rate of interest.
Such assets are subsequently carried at amortised cost using the effective interest method.
(ii) Financial liabilities
Basic financial liabilities, including trade creditors and other creditors are initially recognised at transaction price, unless the arrangement constitutes a financing transaction, where the debt instrument is measured at the present value of the future payments discounted at a market rate of interest.
Members' loans (being repayable on demand), trade debtors and trade creditors are measured at the undiscounted amount of the cash or other consideration expected to be paid or received.

Members' participation rights
Members' participation rights are the rights of a member against the LLP that arise under the members' agreement (for example, in respect of amounts subscribed or otherwise contributed, remuneration and profits).
Amounts subscribed or otherwise contributed by members, for example members' capital, are classed as equity if the LLP has an unconditional right to refuse payment to members. If the LLP does not have such an unconditional right, such amounts are classified as liabilities.
Profits are divided automatically in accordance to the members agreement and therefore such profits are classed as an expense through the profit and loss account rather than an appropriation of equity.
The Founding Members shall decide whether losses of the LLP shall be either i) carried forward and set against future profits, (ii) deducted from capital or (iii) reimbursed by members.
All amounts due to the members that are classified as liabilities are presented in the balance sheet within 'Loans and other debt due to members' and are charged to the income statement within 'Members' remuneration charged as an expense. Amounts due to members that are classified as equity are shown in the balance sheet within 'Members' other interests'.
Critical accounting estimates and assumptions
The LLP makes estimates and assumptions concerning the future. The resulting accounting estimates will, by definition, seldom equal the related actual results. The estimates and assumptions that have a significant risk of causing a material adjustment to the carrying amounts of assets and liabilities within the next financial year are addressed below.
(i) Recoverability of accrued income
Accrued income is recognised in respect of income earned but not yet invoiced at the reporting date. Management assesses the recoverability of accrued income at each reporting date and records an impairment where the amount expected to be recovered is less than the carrying amount
