The directors present their report with the financial statements of the company for the period ended 31 December 2025

Principal activities of the company

During 2025, Tranquil Minds Supported Housing CIC remained committed to delivering safe accommodation and person-centred support for adults experiencing homelessness, addiction, poor mental health and other complex needs. Whilst the year presented considerable financial and operational challenges, our priority was to maintain high-quality support for existing residents whilst strengthening the long-term sustainability of the organisation. We took the decision not to pursue more rapid expansion, rather we focused on consolidating our services, improving operational resilience and ensuring that residents continued to receive the consistent support they needed. However, the objective of providing more support for the growing needs of the community remains. Throughout the year we continued to provide accommodation and tailored support to vulnerable adults, assisting individuals with recovery, budgeting, accessing healthcare, developing independent living skills, engaging with employment and training opportunities and rebuilding positive relationships with family and support networks. We have continued to work closely with all our stakeholders to try to meet the growing demand for supported housing across the county. The work undertaken during 2025 has positioned the organisation well for future expansion, and we entered 2026 in a more robust position. The directors remain committed to providing high-quality supported housing and personalised support that enables vulnerable adults to achieve greater independence and improve their long-term outcomes.

Balance sheet statements

For the year ending 31 December 2025 the company was entitled to exemption under section 477 of the Companies Act 2006 relating to small companies.

The members have not required the company to obtain an audit in accordance with section 476 of the Companies Act 2006.

Company activities and impact

During 2025, Tranquil Minds Supported Housing CIC remained committed to delivering safe accommodation and person-centred support for adults experiencing homelessness, addiction, poor mental health and other complex needs. Whilst the year presented considerable financial and operational challenges, our priority was to maintain high-quality support for existing residents whilst strengthening the long-term sustainability of the organisation. We took the decision not to pursue more rapid expansion, rather we focused on consolidating our services, improving operational resilience and ensuring that residents continued to receive the consistent support they needed. However, the objective of providing more support for the growing needs of the community remains. Throughout the year we continued to provide accommodation and tailored support to vulnerable adults, assisting individuals with recovery, budgeting, accessing healthcare, developing independent living skills, engaging with employment and training opportunities and rebuilding positive relationships with family and support networks. A key achievement during 2025 was improving the financial resilience of the organisation. We successfully reduced outstanding debts: placing the CIC on a stronger financial footing for future growth and ensuring the organisation remains sustainable for the communities we serve. We have continued to work closely with Buckinghamshire Council, Probation Services, the Police, NHS services and other partner agencies to deliver coordinated support and appropriate accommodation for individuals with complex needs. The demand for supported housing continues to increase across the county. The work undertaken during 2025 has positioned the organisation well for future expansion, and we entered 2026 in a more robust position. During we 2025 we didn’t add any beds, remaining at 25, but since the beginning of 2026 we have already expanded by six additional bed spaces, with further growth opportunities currently being developed, demonstrating the benefits of the work undertaken during 2025. The directors remain committed to providing high-quality supported housing and personalised support that enables vulnerable adults to achieve greater independence and improve their long-term outcomes.

Consultation with stakeholders

The stakeholders of the company continue to be the clients to whom services are provided and the local community represented. This is represented by the local authority (Buckinghamshire County Council – comprising various different departments) and various agencies such as the Police, Probation Services and the Community Mental Health Teams (Safe Haven & Oxford NHS Trust). No specific general consultation has been undertaken other than the ongoing day to day interaction between the Company and the various bodies/agencies regarding the provision of services to individual clients. Specific detailed feedback is always responded to and where appropriate acted upon. Regular individual engagement is undertaken with our clients and recorded. Changes have been made to our operating procedures where this has been identified as desirable and practicable.

Directors' remuneration

In the year to 31st December 2025, the sum of £35,950 was paid to Mr Umar Gulzar as a Director (2024: £11,750), with company pension contributions of £1,078 (2024: £353). Mrs Noreen Bibi was paid £18,595 (2024: £3,500), with pension contributions of £558 (2024: £105), while serving as a director, and continued to be paid as an employee after she ceased to be a director. Mr Paul Fernandez-Montes invoiced a total of £1,134 in the year, through Montes Associates Ltd, of which £300 related to his work as a Director for the year ended 31st December 2024. Since the 31st December 2025, he has invoiced £1,440, and of this £600 relates to his work as a Director during the year ended 31st December 2025. There was no other compensation paid to directors. There were no other transactions or arrangements in this financial year in connection with the remuneration of directors, or compensation for director’s loss of office, which require to be disclosed.
