CommonAI Holdings Limited ("the Company" and formerly CAIVP TopCo Limited) is a private company limited by shares, incorporated on 8 November 2024. The company number is 16069377. The registered office and principal place of business is 3rd Floor 19-20 Berners Street, London, United Kingdom, W1T 3NW.
2.Accounting policies

Basis of preparation of financial statements
|
The financial statements have been prepared under the historical cost convention unless otherwise specified within these accounting policies and in accordance with Section 1A of Financial Reporting Standard 102, the Financial Reporting Standard applicable in the UK and the Republic of Ireland and the Companies Act 2006.
As this is the Company's first accounting period, the financial statements cover the period from incorporation on 8 November 2024 to 31 December 2025, which is a period of 14 months. Therefore, there are no prior period comparatives.
The preparation of financial statements in compliance with FRS 102 requires the use of certain critical accounting estimates. It also requires management to exercise judgment in applying the Company's accounting policies.

Exemption from preparing consolidated financial statements
|
The Company, and the Group headed by it, qualify as small as set out in section 383 of the Companies Act 2006 and the parent and Group are considered eligible for the exemption to prepare consolidated accounts.
The company's financial statements have been prepared on a going concern basis. The directors have prepared cash flow forecasts for a period of at least 12 months from the date of approval of these financial statements. In making their assessment, the directors have considered the Company's current financial position, projected cash flows and the post balance sheet share issue described in Note 10.
Based on this assessment, the directors are satisfied that the Company has adequate resources to continue in operational existence for the foreseeable future and have therefore adopted the going concern basis of accounting in preparing these financial statements.

Foreign currency translation
|
Functional and presentation currency
The Company's functional and presentational currency is GBP.
Transactions and balances
Foreign currency transactions are translated into the functional currency using the spot exchange rates at the dates of the transactions.
At each period end foreign currency monetary items are translated using the closing rate. Non-monetary items measured at historical cost are translated using the exchange rate at the date of the transaction and non-monetary items measured at fair value are measured using the exchange rate when fair value was determined.
Foreign exchange gains and losses resulting from the settlement of transactions and from the translation at period-end exchange rates of monetary assets and liabilities denominated in foreign currencies are recognised in profit or loss except when deferred in other comprehensive income as qualifying cash flow hedges.
Interest income is recognised in profit or loss using the effective interest method.
Intangible assets are initially recognised at cost. After recognition, under the cost model, intangible assets are measured at cost less any accumulated amortisation and any accumulated impairment losses.
All intangible assets are considered to have a finite useful life. If a reliable estimate of the useful life cannot be made, the useful life shall not exceed ten years.
Amortisation is provided on the following bases:
Investments in subsidiaries are measured at cost less accumulated impairment.
Short-term debtors are measured at transaction price, less any impairment. Loans receivable are measured initially at fair value, net of transaction costs, and are measured subsequently at amortised cost using the effective interest method, less any impairment.

Cash and cash equivalents
|
Cash is represented by cash in hand and deposits with financial institutions repayable without penalty on notice of not more than 24 hours. Cash equivalents are highly liquid investments that mature in no more than three months from the date of acquisition and that are readily convertible to known amounts of cash with insignificant risk of change in value.

During the period, the Company entered into a Simple Agreement for Future Equity (SAFE) with an investor pursuant to which consideration of $2,000,000 (£1,590,824 at a USD/GBP spot rate of 1.25721) was received.
Settlement of this amount is contingent upon the occurrence of certain future events, including an equity financing, a change of control or initial public offering, or the dissolution, liquidation or winding up of the company, under which the Company may be required to settle the obligation in cash or by issuing equity instruments.
The Directors have considered the classification of the instrument in accordance with Section 22 of FRS 102. As the Company does not have an unconditional right to avoid delivering either cash or a variable number of its own equity instruments, the arrangement has been classified as a financial liability and is presented within creditors.
As at 31 December 2025, £1,590,824 was included within other creditors.
