The average number of persons, including directors, employed by the company during the year was as follows:
Following the demerger of Sandgate Park Limited, the Company continues to recognise amounts due from Sandgate Park Limited comprising unpaid demerger costs of £21,784.46, together with the additional Demerger balancing payment that may become recoverable following resolution of the disputed £45,000 adjustment included within the completion accounts.
The directors of Evolve Properties (NE) Limited consider the recoverability of these amounts to represent a significant area of management judgement.
The disputed adjustment was introduced by Sandgate Park Limited's former accountants, SKS Bailey Group Limited. Despite extensive requests over a prolonged period by the jointly appointed independent forensic accounting expert and the Company's professional advisers, no contemporaneous accounting records, reconciliations, working papers or audit trail have been produced to substantiate the origin or accounting basis of the adjustment.
The expert determination could not be completed because Sandgate Park Limited's accountants, SKS Bailey Group Limited, did not provide the information required to verify the disputed adjustment, despite repeated requests. The appointed expert subsequently resigned from the engagement.
Subsequent to the reporting period, SKS Bailey Group Limited entered administration. The Joint Administrators' published report confirms that the Redcar practice was excluded from the sale of the business due to sensitivities surrounding potential client claims and states that clients of that practice had been impacted by historic unsound advice relating to tax avoidance schemes. Sandgate Park Limited is identified within the administrators' published documentation as one of the affected client entities. The directors of Evolve Properties (NE) Limited make no comment on the outcome of any claim but consider these publicly available developments relevant background information when assessing the reliability of the historic accounting records underlying the disputed adjustment.
The Company is actively pursuing recovery of the outstanding sums through its solicitors, including the unpaid demerger costs and the balancing payment arising from the resolution of the disputed adjustment.
The directors of Evolve Properties (NE) Limited remain satisfied that recovery action is being actively pursued. Accordingly, the debtor continues to be recognised in these financial statements and will be kept under ongoing review as the underlying dispute is resolved.
Evolve Properties (NE) Limited is a private company limited by shares incorporated in England and Wales. The registered office is c/o Azets Holdings Ltd, Wynyard Park House, Wynyard Avenue, Wynyard, United Kingdom, TS22 5TB.
