The director acknowledges his responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.
These accounts have been prepared and delivered in accordance with the provisions applicable to companies subject to the small companies' regime and in accordance with the provisions of FRS 102 Section 1A - Small Entities. The profit and loss account has not been delivered to the Registrar of Companies.

Compliance with accounting standards
The accounts have been prepared in accordance with the provisions of FRS 102 Section 1A Small Entities. There were no material departures from that standard.

Accounting policies
The principal accounting policies adopted in the preparation of the financial statements are set out below and have remained unchanged from the previous year, and also have been consistently applied within the same accounts.
Basis of preparation
The accounts have been prepared under the historical cost convention as modified by the revaluation of certain fixed assets.
Presentation currency
The accounts are presented in £ sterling.
Tangible fixed assets and depreciation
Tangible assets are included at cost less depreciation and impairment. Depreciation has been provided at the following rates in order to write off the assets over their estimated useful lives:

Intangible fixed assets
Intangible fixed assets (including purchased goodwill and patents) are included at cost less accumulated amortisation. Goodwill Purchased goodwill is capitalised at cost and amortised on a straight-line basis over its estimated useful life. The useful life is considered to be finite and is normally not more than 10 years. Amortisation is charged to the profit and loss account and accumulated in a separate reserve to reduce the carrying amount of goodwill. The company reviews the useful life and residual value of goodwill annually and adjusts if necessary. Goodwill is also assessed for indicators of impairment at each reporting date, and any impairment losses are recognised immediately in the profit and loss account.

Share Capital The company has one class of ordinary shares. At 30 November 2025, the issued share capital comprised 75 ordinary shares of £1 each (2024: 100 ordinary shares). Share Buyback and Capital Redemption Reserve During the year, the company repurchased and cancelled 25 ordinary shares for a total consideration of £50,000. The repurchase was carried out in accordance with Sections 684–723 of the Companies Act 2006. The shares were purchased out of distributable profits, and a solvency statement was completed by the director before the transaction. The nominal value of the shares cancelled, £49,975, has been transferred to the Capital Redemption Reserve in accordance with Section 733 of the Companies Act 2006. The excess of the purchase price over the nominal value, £25, has been charged to the profit and loss account. The Capital Redemption Reserve increased from £nil to £49,975 as a result of this transaction. Dividends During the year the company paid equity dividends totalling £16,500 (2024: £27,000). These dividends were paid out of distributable profits. The “Other creditors” balance of £48,500 relates to deferred consideration payable under a commercial arrangement. This amount is unsecured and repayable after more than one year. Long‑term bank borrowings are secured on the company’s assets. Hire purchase liabilities are secured on the related assets.
