The financial statements have been prepared in accordance with the provisions applicable to companies subject to the small companies regime and in accordance with the provisions of FRS 102 Section 1A - small entities.

The financial statements have been delivered in accordance with the provisions applicable to companies subject to the small companies regime.

The Company has opted not to file the statement of income and retained earnings in accordance with provisions applicable to companies subject to the small companies' regime.

General information

Prima Regulated Markets Limited is a private limited company limited by shares, registered in England and Wales. The company's registered office is 3rd Floor, 1 Ashley Ro. The groups ad. Altrincham, Cheshire, WA14 2DT.
The company's principal activity is the provision of software licences.

2.Accounting policies

 
2.1

Basis of preparation of financial statements

The financial statements have been prepared under the historical cost convention unless otherwise specified within these accounting policies and in accordance with Financial Reporting Standard 102, the Financial Reporting Standard applicable in the UK and the Republic of Ireland and the Companies Act 2006. The disclosure requirements of Section 1A of FRS 102 have been applied other than where additional disclosure is required to show a true and fair view.

The preparation of financial statements in compliance with FRS 102 requires the use of certain critical accounting estimates. It also requires management to exercise judgment in applying the Company's accounting policies.

The following principal accounting policies have been applied:

 
2.2

Going concern

The financial statements have been prepared on the going concern basis, despite an excess of total liabilities over assets and continued trading losses.
The company is cash generative and is meeting its liabilities as they fall due. The group’s majority owner has executed a letter of support expressing its intent to provide financial support for a period of at least one year and one day from the issuance of the financial statements. As such the directors believe it is appropriate to prepare the financial statements on a going concern basis.

 
2.3

Foreign currency translation

Functional and presentation currency

The Company's functional currency is USD ($) as this is the currency of the primary economic nvironment in which the company operates. This differs from the presentational currency which is GBP (£) as this is the currency that shareholders and key decision makers of the Company operate in.

Transactions and balances

Foreign currency transactions are translated into the functional currency using the spot exchange rates at the dates of the transactions.

At each period end foreign currency monetary items are translated using the closing rate. Non-monetary items measured at historical cost are translated using the exchange rate at the date of the transaction 

Foreign exchange gains and losses resulting from the settlement of transactions and from the translation at period-end exchange rates of monetary assets and liabilities denominated in foreign currencies are recognised in profit or loss.

2.4

Revenue

Turnover is recognised to the extent that it is probable that the economic benefits will flow to the Company and the turnover can be reliably measured. Turnover is measured as the fair value of the consideration received or receivable, excluding discounts, rebates, value added tax and other sales taxes.

Rendering of services

Turnover from a contract to provide services is recognised in the period in which the services are provided in accordance with the stage of completion of the contract when all of the following conditions are satisfied:
the amount of turnover can be measured reliably;
it is probable that the Company will receive the consideration due under the contract;
the stage of completion of the contract at the end of the reporting period can be measured reliably; and
the costs incurred and the costs to complete the contract can be measured reliably.

 
2.5

Debtors

Short-term debtors are measured at transaction price, less any impairment.

 
2.6

Cash and cash equivalents

Cash is represented by cash in hand and deposits with financial institutions repayable without penalty on notice of not more than 24 hours.

Creditors

Short-term creditors are measured at the transaction price.

Employees

The average monthly number of employees, including directors, during the year was 8 (2023 - 8).

Prior year adjustment

The following adjustments have been made in the comparative period for the year ended 31 December 2023:
Intangible assets of £11,403,709 and an amortisation charge of £212,484 were incorrectly recognised in these financial statements. This has resulted in £11,191,225 net book value of intangible assets being removed, a decrease in amounts owed to group entities of £11,638,854 and an increase in the profit for the year of £447,629.
Tangible fixed assets with a net book value of £4,056 were incorrectly recognised in these financial statements. This has resulted in a decrease in the profit for the year of £4,056.
Interest costs were paid on behalf of another group entity and should not have been recognised in these financial statements. This has resulted in an increase in the amounts owed from group entities of £181,981 and an increase in the profit for the year of the same.
Bonuses and other costs were incorrectly recognised for in these financial statements. This has resulted in a increase in the profit for the year of £138,232, a decrease in accruals of £142,483 and a decrease in other debtors of £4,251.
A management charge was not recognised in these financial statements. This has resulted in a decrease in the profit for the year of £552,892 and an increase in amounts owed to group entities of the same.
Intercompany debtors and creditors had been offset against each other. Separating these out resulted in an increase in debtors of £834,436 and an increase in creditors of the same, with no affect on profit or loss. 
The effect of the above transactions is to decrease the net liability position by £210,893 at 31 December 2023.

Related party transactions

The company has adopted the exemption permitted by paragraph 33.1A of FRS102 and has not disclosed transactions with other group members, where the group members are wholly owned.


9.


Auditors' information

The auditors' report on the financial statements for the year ended 31 December 2024 was unqualified.

The audit report was signed on 15 July 2026 by Hannah Clegg (Senior statutory auditor) on behalf of Sayers Butterworth LLP.
