For the period ending 31 August 2025 the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies.
The member has not required the company to obtain an audit in accordance with section 476 of the Companies Act 2006.
The director acknowledges his responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.
These accounts have been prepared and delivered in accordance with the provisions applicable to companies subject to the small companies regime.
The company has taken advantage of section 444(1) of the Companies Act 2006 and opted not to deliver to the registrar a copy of the company's Profit and Loss Account.

Notes to the Financial Statements
1. General Information
TSP Management Limited is a private company, limited by shares, incorporated in England & Wales, registered number 15891094 . The registered office is C/O Factotum Group LLP The Kinetic Centre, Theobald Street, Borehamwood, Hertfordshire , WD6 4PJ.
2. Accounting Policies
2.1. Basis of Preparation of Financial Statements
The financial statements have been prepared under the historical cost convention and in accordance with Financial Reporting Standard 102 section 1A Small Entities "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Companies Act 2006.
2.2. Going Concern Disclosure
The directors have not identified any material uncertainties related to events or conditions that may cast significant doubt about the company's ability to continue as a going concern.
2.3. Turnover
Turnover represents revenue arising from intercompany recharges to fellow group entities in respect of services provided during the year.
2.4. Financial Instruments
The company only enters into basic financial instrument transactions that result in the recognition of financial assets and liabilities such as trade and other debtors and creditors and loans to related parties.
2.5. Foreign Currencies
Monetary assets and liabilities in foreign currencies are translated into sterling at the rates of exchange ruling at the balance sheet date. Transactions in foreign currencies are translated into sterling at the rate ruling on the date of the transaction. Exchange differences are taken into account in arriving at the operating profit.
2.6. Debtors
Short-term debtors are recognised initially at transaction price, less any impairment.
2.7. Creditors
Short-term creditors are recognised at transaction price and subsequently measured at amortised cost.

7. Related Party Transactions
The company is a wholly owned subsidiary of 777 Partners LLC, a limited liability company incorporated in the United States of America. During the year, the company generated intercompany revenue of £1,257,905 arising from expense recharges to Nutmeg Acquisition LLC, a related party at the time the transactions occurred.
On 6 June 2025, Nutmeg Acquisition LLC transferred ownership and ceased to be a subsidiary of 777 Partners LLC and therefore ceased to be a related party from that date. At the date it ceased to be a related party, the balance due from Nutmeg Acquisition LLC was £nil.
8. Ultimate Controlling Party
The immediate and ultimate parent company is 777 Partners LLC, a company incorporated in USA which prepares consolidated financial statements. It's registered office is 100 SE 2nd Street, Suite 2000, Miami, FL 33131-2101. The ultimate controlling party is Steven Pasko. 
9. Other Reserves
Other reserves represent capital contributions received by the parent company, 777 Partners LLC. This was to ensure the Company could meet its financial obligations in the parent's capacity as a shareholder, which is deemed not repayable. Accordingly, the contribution has been directly recognised in equity as a capital contribution.
