Accounting policies
Company information
Imenco Aqua Uk Ltd is a private company limited by shares incorporated in Scotland. The registered office is 13 Queen's Road, Aberdeen, AB15 4YL.
1.1
Accounting convention
These financial statements have been prepared in accordance with FRS 102 “The Financial Reporting Standard applicable in the UK and Republic of Ireland” (“FRS 102”) and the requirements of the Companies Act 2006 as applicable to companies subject to the small companies regime. The disclosure requirements of section 1A of FRS 102 have been applied other than where additional disclosure is required to show a true and fair view.
The financial statements are prepared in sterling, which is the functional currency of the company. Monetary amounts in these financial statements are rounded to the nearest £.
The financial statements have been prepared under the historical cost convention, [modified to include the revaluation of freehold properties and to include investment properties and certain financial instruments at fair value]. The principal accounting policies adopted are set out below.
1.2
Going concern
Itruen preparing these Financial Statements, the Director of the company has given careful consideration to current and anticipated future solvency requirements of the company and its ability to continue as a going concern for at least 12 months following the date of issue of these financial statements.
The director has concluded that he expects the company to maintain modest trading levels in the next 12 months following the date of issue of these financial statements and that Imenco Aqua UK Ltd will require continued financial support in the form of additional cash funding from the wider group in order to meet all of its third party obligations as they fall due.
The level of support required has been considered at a group wide level and the following financial support has been pledged.
On 5 November 2025, the company was acquired by Imenco UK Ltd from Imenco Aqua AS and so Imenco UK Ltd is the new immediate parent company. Imenco UK Limited also took over the inter-company balance due by the company to Imenco Aqua AS. Imenco UK Limited has confirmed through a letter of support that it will not seek repayment of any amounts due to it by the company if this would prevent the company from meeting its third party obligations as they fall due for at least 12 months from the date of issue of these financial statements.
Based on the consideration and financial support detailed above, the financial statements have been prepared on a going concern basis.
1.3
Turnover
Revenue comprises sales of goods or services provided to customers net of value added tax and other sales taxes, less an appropriate deduction for actual and expected returns and discounts. Revenue is recognised when performance obligations are satisfied and the control of goods or services is transferred to the buyer. Where the performance obligation is satisfied over time, revenue is recognised in accordance with its progress towards complete satisfaction of that performance obligation.
When cash inflows are deferred and represent a financing arrangement, the promised consideration is adjusted for the effects of the time value of money, which is recognised as interest income.
The nature, timing of satisfaction of performance obligations and significant payment terms of the company's major sources of revenue are as follows:

Revenue from the sale of goods is recognised when the significant risks and rewards of ownership of the goods have passed to the buyer (usually on dispatch of the goods), the amount of revenue can be measured reliably, it is probable that the economic benefits associated with the transaction will flow to the entity and the costs incurred or to be incurred in respect of the transaction can be measured reliably.
Revenue from contracts for the provision of professional services is recognised by reference to the stage of completion when the stage of completion, costs incurred and costs to complete can be estimated reliably. The stage of completion is calculated by comparing costs incurred, mainly in relation to contractual hourly staff rates and materials, as a proportion of total costs. Where the outcome cannot be estimated reliably, revenue is recognised only to the extent of the expenses recognised that are recoverable.
1.4
Stocks
Stocks are stated at the lower of cost and estimated selling price less costs to complete and sell. Cost comprises direct materials and, where applicable, direct labour costs and those overheads that have been incurred in bringing the stocks to their present location and condition.
Stocks held for distribution at no or nominal consideration are measured at the lower of cost and replacement cost, adjusted where applicable for any loss of service potential.
At each reporting date, an assessment is made for impairment. Any excess of the carrying amount of stocks over its estimated selling price less costs to complete and sell is recognised as an impairment loss in profit or loss. Reversals of impairment losses are also recognised in profit or loss.
1.5
Cash and cash equivalents
Cash and cash equivalents are basic financial assets and include cash in hand, deposits held at call with banks, other short-term liquid investments with original maturities of three months or less, and bank overdrafts. Bank overdrafts are shown within borrowings in current liabilities.
1.6
Financial instruments
The Company only enters into basic financial instrument transactions that result in the recognition of
financial assets and liabilities like trade and other debtors and creditors, loans from banks and other
third parties, loans to related parties and investments in ordinary shares.
1.7
Equity instruments
Equity instruments issued by the company are recorded at the proceeds received, net of transaction costs. Dividends payable on equity instruments are recognised as liabilities once they are no longer at the discretion of the company.
1.8
Employee benefits
The costs of short-term employee benefits are recognised as a liability and an expense, unless those costs are required to be recognised as part of the cost of stock or fixed assets.
The cost of any unused holiday entitlement is recognised in the period in which the employee’s services are received.
Termination benefits are recognised immediately as an expense when the company is demonstrably committed to terminate the employment of an employee or to provide termination benefits.
1.9
Retirement benefits
Payments to defined contribution retirement benefit schemes are charged as an expense as they fall due.

Foreign exchange
Functional and presentation currency
The Company's functional and presentational currency is GBP. These accounts are presented rounded to the nearest whole pound.
Transactions and balances
Foreign currency transactions are translated Info the function currency using the spot exchange rates at the dates of the transactions.
At each period end foreign currency monetary items are translated using the closing rate. Non-monetary items measured at historical cost are translated using the exchange rate at the date of the transaction and non-monetary items measured at fair value are measured using the exchange rate when fair value was determined.
Foreign exchange gains and losses resulting from the settlement of transactions and from the translation at period-end exchange rates of monetary assets and liabilities denominated in foreign currencies are recognised in profit or loss except when deferred in other comprehensive income as qualifying cash flow hedges.
Foreign exchange gains and losses that relate to borrowings and cash and cash equivalents are presented in the Statement of Income and Retained Earnings within ‘finance income or costs’. All other foreign exchange gains and losses are presented in profit or loss within ‘other operating income’.

Judgements and key sources of estimation uncertainty
In the application of the company’s accounting policies, the director is required to make judgements, estimates and assumptions about the carrying amount of assets and liabilities that are not readily apparent from other sources. The estimates and associated assumptions are based on historical experience and other factors that are considered to be relevant. Actual results may differ from these estimates.
The estimates and underlying assumptions are reviewed on an ongoing basis. Revisions to accounting estimates are recognised in the period in which the estimate is revised where the revision affects only that period, or in the period of the revision and future periods where the revision affects both current and future periods.

Financial commitments, guarantees and contingent liabilities
Pension Commitments
The company operates a defined contribution scheme. The pension charge for the year represents contributions payable by the company to the scheme and amounted to £Nil (2023: £676). There were no amounts outstanding as at 31 December 2024.

Events after the reporting date
Subsequent to the reporting date, Imenco Aqua UK Ltd was acquired by Imenco UK Limited. This transaction is treated as a non-adjusting event in accordance with FRS 102. Following completion of the acquisition, intercompany balances between the entities have been identified and are to be written off as part of the group’s post-acquisition consolidation procedures.

Transactions with related parties
At the balance sheet date, the company owed £697,003 (2023: £698,075) to its immediate controlling party, Imenco Aqua AS. The company was owed £86,391 (2023: £20,091) by Imenco Aqua AS.
