Notes to the Financial Statements
1. General Information
Passentry Limited is a private company, limited by shares, incorporated in England & Wales, registered number 12369795 . The registered office is The Long Barn Down Farm, Downside, Cobham Park Road, Surrey, KT11 3NE.
2. Accounting Policies
2.1. Basis of Preparation of Financial Statements
The financial statements have been prepared under the historical cost convention and in accordance with Financial Reporting Standard 102 section 1A Small Entities "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Companies Act 2006.
2.2. Turnover
Turnover is measured at the fair value of the consideration received or receivable, net of discounts and value added taxes. Turnover includes revenue earned from the rendering of services. Turnover is reduced for estimated customer returns, rebates and other similar allowances.
Rendering of services
Turnover from the rendering of services is recognised by reference to the stage of completion of the contract. The stage of completion of a contract is measured by comparing the costs incurred for work performed to date to the total estimated contract costs. Turnover is only recognised to the extent of recoverable expenses when the outcome of a contract cannot be estimated reliably.
2.3. Intangible Fixed Assets and Amortisation - Other Intangible
Intangible assets comprise capitalised development costs and are initially recognised at cost. After recognition, under the cost model, intangible assets are measured at cost less any accumulated amortisation and any accumulated impairment losses.
All intangible assets are considered to have a finite useful life. If a reliable estimate of the useful life cannot be made, the useful life shall not exceed ten years, in accordance with FRS 102.
The estimated useful lives range as follows:

Amortisation commences when the asset is available for use. Intangible assets are reviewed annually for impairment where indicators exist.
2.4. Tangible Fixed Assets and Depreciation
Tangible fixed assets are measured at cost less accumulated depreciation and any accumulated impairment losses. Depreciation is provided at rates calculated to write off the cost of the fixed assets, less their estimated residual value, over their expected useful lives on the following bases:

2.5. Foreign Currencies
Monetary assets and liabilities in foreign currencies are translated into sterling at the rates of exchange ruling at the balance sheet date. Transactions in foreign currencies are translated into sterling at the rate ruling on the date of the transaction. Exchange differences are taken into account in arriving at the operating profit.
2.6. Taxation
Income tax expense represents the sum of the tax currently payable and deferred tax.
The tax currently payable is based on taxable profit for the year. Taxable profit differs from profit as reported in the statement of comprehensive income because of items of income or expense that are taxable or deductible in other years and items that are never taxable or deductible. The company's liability for current tax is calculated using tax rates that have been enacted or substantively enacted by the end of the reporting period.

9. FRC's Ethical Standard - Provision Available for Small Entities
In common with other businesses of our size and nature we use our auditors to prepare and submit returns to the tax authorities and assist with the preparation of the financial statements.
10. Share based payments
The company operates share-based payment arrangements for certain employees and directors.
The total expense recognised in the profit and loss account for the period in respect of equity-settled share-based payments was £13,971 (2024: £nil). In measuring the expense, the company has assumed that 90% of options granted will vest, reflecting expected employee departures.
Options granted during the year vest over a period of five years.
The number of share options outstanding during the year was as follows:
(i)  outstanding at the beginning of the period;  Nil
(ii) granted during the period;  71,000
(iii) forfeited during the period; Nil
(iv) exercised during the period; Nil
(v) expired during the period;  Nil
(vi) outstanding at the end of the period; and 71,000
(vii) exercisable at the end of the period. Nil
11. Transition to FRS 102
During the year, the company transitioned from applying the micro-entities regime under FRS 105 The Financial Reporting Standard applicable to the Micro-entities Regime to applying FRS 102 Section 1A Small Entities.
The transition to FRS 102 Section 1A has been accounted for in accordance with Section 35 Transition to this FRS. Comparative figures have been restated where necessary to ensure consistency with the current year presentation.
The transition has not had a material impact on the financial position or financial performance of the company, other than the inclusion of additional disclosures required under FRS 102 Section 1A.
12. Audit Information
The auditor's report on the accounts of Passentry Limited for the year ended 31 December 2025 was unqualified.
