Notes to the Financial Statements
1. General Information
CodeYourFuture Labs Limited is a private company, limited by shares, incorporated in England & Wales, registered number 13232479 . The registered office is 4th Floor, Silverstream House 45 Fitzroy Street, Fitzrovia, London, W1T 6EB.
2. Accounting Policies
2.1. Basis of Preparation of Financial Statements
The financial statements have been prepared under the historical cost convention and in accordance with Financial Reporting Standard 102 section 1A Small Entities "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Companies Act 2006.
2.2. Going Concern Disclosure
The directors have not identified any material uncertainties related to events or conditions that may cast significant doubt about the company's ability to continue as a going concern. Post year end the activities of the company have been transferred to the parent charity however the directors are confident that the company will continue to retain the support of the parent charity and on this basis the company will continue to be a going concern.
2.3. Turnover
Turnover is measured at the fair value of the consideration received or receivable, net of discounts and value added taxes. Turnover includes revenue earned from the sale of goods and from the rendering of services. Turnover is reduced for estimated customer returns, rebates and other similar allowances.
Sale of goods
Turnover from the sale of goods is recognised when the significant risks and rewards of ownership of the goods has transferred to the buyer. This is usually at the point that the customer has signed for the delivery of the goods.
Rendering of services
Turnover from the rendering of services is recognised by reference to the stage of completion of the contract. The stage of completion of a contract is measured by comparing the costs incurred for work performed to date to the total estimated contract costs. Turnover is only recognised to the extent of recoverable expenses when the outcome of a contract cannot be estimated reliably.
2.4. Foreign Currencies
Monetary assets and liabilities in foreign currencies are translated into sterling at the rates of exchange ruling at the balance sheet date. Transactions in foreign currencies are translated into sterling at the rate ruling on the date of the transaction. Exchange differences are taken into account in arriving at the operating profit.
2.5. Taxation
The company has an obligation to pay all taxable profits to its parent charity under gift aid.
Where payment of the company's taxable profits to the parent charity falls after the reporting date, the income tax effects of that gift aid payment are still recognised at the reporting date. The income tax effects are measured consistently with the tax treatment planned to be used in the company’s income tax filings, and a deferred tax liability is not recognised in relation to such a gift aid payment. A tax expense is recognised when the distribution is not paid within nine months of year end.

2.6. Trade and other debtors
Trade and other debtors are initially recognised at fair value and thereafter stated at amortised cost using the effective interest method, less impairment losses for bad or doubtful debts except where the effect of discounting would be immaterial. In such cases, the receivables are stated at cost less impairment losses for bad or doubtful debts.
2.7. Trade and other creditors
Trade and other creditors are initially recognised at fair value and thereafter stated at amortised cost using the effective interest method unless the effect of discounting would be immaterial, in which case they are stated at cost.

7. FRC's Ethical Standard - Provision Available for Small Entities
In common with other businesses of our size and nature we use our auditors to prepare and submit returns to the tax authorities and assist with the preparation of the financial statements.
8. Ultimate Controlling Party
The company's ultimate controlling party is Code Your Future (CYF) by virtue of its ownership of 100% of the issued share capital in the company. CodeYourFuture Labs (CYF Labs) gifted £389,656 to CYF in the year (2024: £232,576). In the year CYF recharged expenditure of £103,969 (2024: £212,524) in respect of staff time and other costs incurred on behalf of CYF Labs, and CYF Labs recharged £598 (2024: £16,344) of costs to CYF. At 31 December 2025 CYF Labs owed CYF £452,459 (2024: CYF Labs owed CYF £410,020).
9. Distributions
Distributions made from the profit and loss account comprise donations made to the company's parent charity, Code Your Future. These totalled £389,656 (2024: £232,576) during the period.
10. Audit Information
The auditor's report on the accounts of CodeYourFuture Labs Limited for the year ended 31 December 2025 was unqualified.
The auditor's report was signed by William Guy Blake ACA (Senior Statutory Auditor) for and on behalf of Godfrey Wilson Limited , Statutory Auditor.
