For the year ending 31 October 2025 the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies. The members have not required the company to obtain an audit in accordance with section 476 of the Companies Act 2006.
The director acknowledges his responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.
These accounts have been prepared and delivered in accordance with the provisions applicable to companies subject to the small companies' regime and in accordance with the provisions of FRS 102 Section 1A - Small Entities. The profit and loss account has not been delivered to the Registrar of Companies.

Statutory information
The Jointworks Ltd is a private company, limited by shares, registered in England and Wales, registration number 14404889. The registered office is The Jointworks, 45 Frederick Street, Birmingham, B1 3HN.

Compliance with accounting standards
The accounts have been prepared in accordance with the provisions of FRS 102 Section 1A Small Entities. There were no material departures from that standard.

Accounting policies
The principal accounting policies adopted in the preparation of the financial statements are set out below and have remained unchanged from the previous year, and also have been consistently applied within the same accounts.
Basis of preparation
The accounts have been prepared under the historical cost convention as modified by the revaluation of certain fixed assets.
Presentation currency
The accounts are presented in £ sterling.
Turnover
Turnover is measured at the fair value of the consideration received or receivable, excluding discounts, rebates, value added tax and other sales taxes. Turnover from the rendering of services is recognised by reference to the stage of completion of the contract.
Intangible fixed assets
Intangible fixed assets (including purchased goodwill and patents) are included at cost less accumulated amortisation.
Tangible fixed assets and depreciation
Tangible assets are included at cost less depreciation and impairment. Depreciation has been provided at the following rates in order to write off the assets over their estimated useful lives:

Going concern
The financial statements have been prepared on a going concern basis. At the balance sheet date, the company had net liabilities of £141,093. The company has received continued financial support from Substrakt Limited, a company under common control, which has provided funding of £106,252. These amounts are included within the creditors liabilities. The director has confirmed that Substrakt Limited will continue to provide financial support to the company for the foreseeable future and will not seek repayment of the amounts owed where doing so would prejudice the company’s ability to meet its liabilities as they fall due. Based on this support and expected future trading performance, the director considers it appropriate to prepare the financial statements on a going concern basis.

Transactions with related parties
During the year, the company received additional loans of £30,000 from Substrakt Limited, a company under common control through the director and sole shareholder, Andrew Hartwell. At the balance sheet date, £52,502 (2024: £22,502) was owed to Substrakt Limited and was included within creditors falling due within one year. The balance is unsecured, interest-free and repayable on demand. The company also had a long-term loan from Substrakt Limited. At the balance sheet date, the amount outstanding was £53,750 (2024: £50,750) and was included within creditors falling due after more than one year. The loan is unsecured and is not repayable within one year. The total amount owed to Substrakt Limited at the balance sheet date was therefore £106,252 (2024: £73,252). No guarantees were given or received in respect of these balances.
