For the year ending 28 February 2026 the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies.
The member has not required the company to obtain an audit in accordance with section 476 of the Companies Act 2006.
The director acknowledges his responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.
These accounts have been prepared and delivered in accordance with the provisions applicable to companies subject to the small companies regime.
The company has taken advantage of section 444(1) of the Companies Act 2006 and opted not to deliver to the registrar a copy of the company's Profit and Loss Account.

Notes to the Financial Statements
1. General Information
Venture Motion Limited is a private company, limited by shares, incorporated in England & Wales, registered number 11205547 . The registered office is The Tootal Buildings Venture Motion, Orega, 56 Oxford Street, Manchester, M1 6EU.
2. Accounting Policies
2.1. Basis of Preparation of Financial Statements
The financial statements have been prepared under the historical cost convention and in accordance with Financial Reporting Standard 102 section 1A Small Entities "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Companies Act 2006.
2.2. Going Concern Disclosure
The directors have a reasonable expectation that the company has adequate resources to continue in operational existence for the foreseeable future. The directors have reached this conclusion giving due consideration to the projected future performance of the company and any potential risk that might impact the company's ability to meet its required solvency levels. For this reason, they continue to adopt the going concern basis in preparing the financial statements.
2.3. Turnover
Turnover is measured at the fair value of the consideration received or receivable, net of discounts and value added taxes. Turnover includes revenue earned from the sale of goods and from the rendering of services. Turnover is reduced for estimated customer returns, rebates and other similar allowances.
Rendering of services
Turnover from the rendering of services is recognised by reference to the stage of completion of the contract. The stage of completion of a contract is measured by comparing the costs incurred for work performed to date to the total estimated contract costs. Turnover is only recognised to the extent of recoverable expenses when the outcome of a contract cannot be estimated reliably.
2.4. Intangible Fixed Assets and Amortisation - Other Intangible
Other intangible assets are SalesTech software development costs. As the software is not yet available for use, the asset has not yet been amortised.
2.5. Tangible Fixed Assets and Depreciation
Tangible fixed assets are measured at cost less accumulated depreciation and any accumulated impairment losses. Depreciation is provided at rates calculated to write off the cost of the fixed assets, less their estimated residual value, over their expected useful lives on the following bases:

10. Related Party Transactions
During the year, the following material transaction occurred with a related party:
Director's Loan Account — Capital Contribution
Terry Chiu, the sole director and shareholder of the Company, waived a loan balance of £90,000 owed by the Company to the Director. By formal deed of waiver dated 28 February 2026, the Director irrevocably released the Company from any obligation to repay this sum.
In accordance with FRS 102 Section 1A, the waived balance has been credited directly to equity and recognised as a capital contribution reserve of £90,000. No amount has been recognised through the profit and loss account in respect of this transaction.
The transaction was not made on normal market terms; it represents a voluntary and unconditional contribution of funds to the Company by a related party. There is no obligation, contingent or otherwise, for the Company to repay this amount.
Nature of relationship:
Terry Chiu is both a director and a shareholder of Venture Motion Limited and is therefore a related party as defined under FRS 102 Section 33.
DIRECTORS' LOANS AND TRANSACTIONS (CA 2006 s413)
The following information is disclosed in accordance with section 413 of the Companies Act 2006:

Movement during the year — waiver of loan (capital contribution): -£90,000

The loan balance arose in the ordinary course of the director's relationship with the Company. No interest was charged on the loan. The loan was not secured. The maximum balance outstanding during the year was £667,360.
There were no other advances, credits, guarantees or indemnities granted to or on behalf of any director during the year (prior year: nil).
