1. STATUTORY INFORMATION

IMS Robotics UK Limited is a private company, limited by shares , registered in England and Wales. The company's registered number and registered office address can be found on the Company Information page.

The presentation currency of the financial statements is the Pound Sterling (£).


2. ACCOUNTING POLICIES

Basis of preparing the financial statements
These financial statements have been prepared in accordance with Financial Reporting Standard 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland" including the provisions of Section 1A "Small Entities" and the Companies Act 2006. The financial statements have been prepared under the historical cost convention.

Tangible fixed assets
Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life or, if held under a finance lease, over the lease term, whichever is the shorter.
Land and buildings - Over the term of the lease
Plant and machinery etc - 25% on cost and 20% on cost

Stocks
Stocks are valued at the lower of cost and net realisable value, after making due allowance for obsolete and slow moving items.

Taxation
Taxation for the year comprises current and deferred tax. Tax is recognised in the Income Statement, except to the extent that it relates to items recognised in other comprehensive income or directly in equity.

Current or deferred taxation assets and liabilities are not discounted.

Current tax is recognised at the amount of tax payable using the tax rates and laws that have been enacted or substantively enacted by the balance sheet date.

Deferred tax
Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the balance sheet date.

Timing differences arise from the inclusion of income and expenses in tax assessments in periods different from those in which they are recognised in financial statements. Deferred tax is measured using tax rates and laws that have been enacted or substantively enacted by the year end and that are expected to apply to the reversal of the timing difference.

Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits.

Foreign currencies
Assets and liabilities in foreign currencies are translated into sterling at the rates of exchange ruling at the balance sheet date. Transactions in foreign currencies are translated into sterling at the rate of exchange ruling at the date of transaction. Exchange differences are taken into account in arriving at the operating result.

2. ACCOUNTING POLICIES - continued

Leases
Leases are recognised as finance leases. The lease liability is initially recognised at the present value of the lease payments which have not yet been made and subsequently measured under the amortised cost method. The initial cost of the right-of-use asset comprises the amount of the initial measurement of the lease liability, lease payments made prior to the lease commencement date, initial direct costs and the estimated costs of removing or dismantling the underlying asset per the conditions of the contract.

Where ownership of the right-of-use asset transfers to the lessee at the end of the lease term, the right-of-use asset is depreciated over the asset’s remaining useful life. If ownership of the right-of-use asset does not transfer to the lessee at the end of the lease term, depreciation is charged over the shorter of the useful life of the right-of-use asset and the lease term.

Pension costs and other post-retirement benefits
The company operates a defined contribution pension scheme. Contributions payable to the company's pension scheme are charged to profit or loss in the period to which they relate.

The company early adopted the Periodic Review 2024 amendments to FRS 102 relating to lease accounting with effect from 1 January 2025. The amendments were adopted using the modified retrospective approach and comparative information has not been restated.

On transition, lease liabilities of £859,825 were recognised, measured at the present value of remaining lease payments discounted at the company’s incremental borrowing rate.. Right-of-use assets of £859,825 were recognised at transition.

The company applied the practical expedient to measure right-of-use assets at an amount equal to the related lease liabilities adjusted for accrued and prepaid lease payments.

12. RELATED PARTY DISCLOSURES

The company has not taken advantage of the exemption permitted by Section 33 of FRS 102 in respect of related party disclosures.

Transactions and balances with fellow subsidiaries
During the year, sales to fellow subsidiaries amounted to £68,494 and purchases amounted to £536,149. At the reporting date, the balance due from fellow subsidiaries amounted to £63,211, while the amount due to fellow subsidiaries amounted to £9,775. The balances are unsecured, interest free, and settled on normal commercial terms.

Transactions and balances with the parent company
During the year, the company made purchases from its parent undertaking totalling £4,210,336. At the reporting date, the balance due to the parent undertaking is £835,888. The balance is unsecured, interest free and settled on normal commercial terms.

13. ULTIMATE CONTROLLING PARTY

The controlling party is IMS Verwaltungs GmbH.

The parent undertaking for which group accounts are drawn up is IMS Verwaltungs GmbH of Am Bauhof 6, 01458 Ottendorf-Okrilla, Germany.
