General information

Cornerstone Robotics UK Limited is a private company limited by shares, incorporated in England and Wales on 28 April 2025. The Company's registered number is 16411660 and its registered office is Unit 13 Hilsea Industrial Estate, Limberline Spur, Portsmouth, PO3 5JW.

The principal activity of the Company is the development, manufacture, distribution and support of advanced robotic-assisted surgical systems and related medical technologies. The Company forms part of the Cornerstone Robotics group, which is engaged in the research, development and commercialisation of innovative surgical robotics solutions designed to enhance minimally invasive surgical procedures and improve patient outcomes worldwide.

2.Accounting policies

Basis of preparation of financial statements

The financial statements have been prepared under the historical cost convention unless otherwise specified within these accounting policies and in accordance with Financial Reporting Standard 102, the Financial Reporting Standard applicable in the UK and the Republic of Ireland and the Companies Act 2006. The disclosure requirements of Section 1A of FRS 102 have been applied other than where additional disclosure is required to show a true and fair view.

The following principal accounting policies have been applied:

Going concern

The financial statements have been prepared on the going concern basis. In assessing the appropriateness of this basis, the director has considered the Company's current financial position, expected future trading performance, cash flow forecasts and available funding resources.

The Company incurred a loss of £63,594 during the period from 28 April 2025 to 31 December 2025. However, at that date the Company had net assets of £136,407 and cash balances of £146,287. The director has reviewed the Company's forecast cash flows and is satisfied that the Company will be able to meet its liabilities as they fall due.

In addition, the Company's parent undertaking, Cornerstone Robotics Limited, has provided a letter of financial support confirming that it will not seek repayment of any amounts due from the Company and will provide such financial support as may be necessary to enable the Company to meet its obligations as they fall due for a period of at least twelve months from the date of approval of these financial statements.

Accordingly, the director has a reasonable expectation that the Company has adequate resources to continue in operational existence for the foreseeable future and has therefore adopted the going concern basis in preparing these financial statements.

 
2.3

Operating leases: the Company as lessee

Rentals paid under operating leases are charged to profit or loss on a straight-line basis over the lease term.

Benefits received and receivable as an incentive to sign an operating lease are recognised on a straight-line basis over the lease term, unless another systematic basis is representative of the time pattern of the lessee's benefit from the use of the leased asset.

Interest income

Interest income is recognised in profit or loss using the effective interest method.

Debtors

Short-term debtors are measured at transaction price, less any impairment. Loans receivable are measured initially at fair value, net of transaction costs, and are measured subsequently at amortised cost using the effective interest method, less any impairment.

 
2.6

Cash and cash equivalents

Cash is represented by cash in hand and deposits with financial institutions repayable without penalty on notice of not more than 24 hours. Cash equivalents are highly liquid investments that mature in no more than three months from the date of acquisition and that are readily convertible to known amounts of cash with insignificant risk of change in value.

Creditors

Short-term creditors are measured at the transaction price. Other financial liabilities, including bank loans, are measured initially at fair value, net of transaction costs, and are measured subsequently at amortised cost using the effective interest method.

Controlling party

The immediate parent undertaking and controlling party of the Company is Cornerstone Robotics Limited, a company incorporated in Hong Kong, which holds 100% of the issued share capital of the Company.

The director considers that there is no single ultimate controlling individual.

The financial statements of the immediate parent undertaking are available from its registered office at: Suite 603, 6/F, Laws Commercial Plaza, 788 Cheung Sha Wan Road, Kowloon, Hong Kong.

The auditors' report on the financial statements for the period ended 31 December 2025 was unqualified.
