Principal activities of the company

The Company Trustees, who are the Directors for the purposes of the Companies Act, have pleasure in presenting their second Annual Report and Financial Statements, and form CIC34, for the period ended 30th September 2025. LEGAL AND ADMINISTRATIVE DETAILS Governing Instrument The Company is constituted as a Community Interest Company limited by guarantee, not having a share capital and governed by a Memorandum & Articles of Association. During the financial period covered by this report, Touraco Community Story Sharing’s Name and Objects were changed, as noted above. Membership Membership is open to interested individuals interested in promoting the Objects of the Company and accepted into membership by the Trustees. Trustees/Directors The Company’s day-to-day work is delegated by the members, to a Board of Directors – who are also the Company’s Trustees, who are elected by, and report to, an Annual General Meeting [AGM], that receives an Annual Report and the Financial Statements [Accounts] of the organisation. One third of the Directors/Trustees stand down at each AGM, in rotation, by length of service, but are eligible for re-election. The Trustees meet as required to manage the business of the Company. Between AGMs the Trustees are responsible for overseeing the running of the Company - governed by both Company law/regulations and the C.I.C. Regulator - and for obtaining funding, running projects and allocating resources. Collectively, they are responsible for the overall management of the operations of the Company/C.I.C.. The Purpose and Objects of the Company The purpose of the CIC is: to carry on activities which benefit the community and in particular adults and young people in Liverpool and throughout the UK, particularly in marginalised, underserved areas. The Objects of the CIC are: to advance the education of the public in the arts (including, but not limited to, music, drama, storytelling and the written word) by the promotion, production, publication and performance of artistic works. REVIEW OF THE YEAR Development The work of the group over the reporting year is as in the commentary sections of the accompanying form CIC34, and in comments below and above. THE FUTURE Post Balance sheet events After the reporting period the CIC changed its Objects, to represent a new, wider, direction, and also changed its name, as noted in the Company Information and The Purpose and Objects of the Company sections above. The Directors will continue to consider projects to enable Touraco Community Story Sharing CIC to meet its revised objects, and will continue to develop partnerships and working relationships both with community groups [and individuals] plus other organisations, to help meet our aims and objectives. We look forward to continuing, and expanding, Touraco Community Story Sharing’s work in the period ahead. The work over the last year is covered in the accompanying form CIC34 and in comments below and above. Marketing Touraco Community Story Sharing CIC continues to promote its work via its networks, developed from the related work mentioned in the CIC34. Board There were no changes to the Directors during the year, but after the period covered by this report June Spencer stood down as a Director, having served since its incorporation. We thank June for her service since the CIC’s formation. Also after the period covered by this Report, as noted above, we are pleased to welcome Prof. Diana Jeater to the Board as June’s replacement.
